Paramount and Skydance Near Merger Deal
  + stars: | 2024-07-02 | by ( Benjamin Mullin | Lauren Hirsch | ) www.nytimes.com   time to read: +1 min
For months, Paramount’s controlling shareholder and Skydance sought to seal a merger that would transform the media industry, before those talks ground to a sudden halt in June. Now, just weeks later, the two sides have reached a preliminary deal to merge, four people familiar with the negotiations said. If they win that approval, the deal will combine Paramount — the parent company of CBS, MTV and Nickelodeon — and Skydance, the up-and-coming movie studio that helped produce “Top Gun: Maverick,” into a new giant in Hollywood. Shari Redstone, who controls Paramount through her stake in its parent company, National Amusements, is part of the family that has run the media conglomerate for decades. The new company would be backed instead by big-ticket investors like the private-equity firm RedBird and David Ellison, son of the Oracle founder Larry Ellison.

Eighteen months on, Adani — who has denied any wrongdoing — has largely recovered from the broadside and the tiny US short seller has revealed how much it made betting against the Indian billionaire: just over $4 million. In its blistering report last year, Hindenburg had accused the Adani Group of “brazen stock manipulation” and questioned the “sky-high” valuations of the ports-to-power conglomerate’s firms. Hindenburg said it had taken a short position in the group’s companies, meaning it would benefit if their shares fell. The short seller, named after the 1937 airship disaster, said in Monday’s statement that it made just $4.1 million in gross revenue through gains related to Adani short positions from a relationship with unnamed investor and about “$31,000 through our own short of Adani US bonds.”“Net of legal and research expenses (including time, salaries/compensation, and costs for a 2-year global investigation) we may come out ahead of breakeven on our Adani short,” it added. The Adani Group immediately denounced the accusations as “baseless” and “malicious,” but failed to halt the staggering stock market meltdown that followed.

The case on time limits, Corner Post v. Board of Governors of the Federal Reserve System, No. 22-1008, arose from a challenge to a 2011 regulation of debit-card swipe fees brought by two trade associations in 2021. The amended suit said Corner Post could not have sued within the six-year period after the issuance of the regulation because it did not yet exist. “Has the Justice Department and the agencies considered whether there is any interaction between these two challenges?” Justice Kagan asked. The lawyer, Benjamin W. Snyder, responded, “I want to be careful here.”Then he added that the consequences could be enormous.

The ruling came on the final day of the Supreme Court's term that began in October. At issue in the case was whether Corner Post was too late when it brought its legal challenge. A group of small business associations had filed a brief urging the Supreme Court to maintain a strict statute of limitations that begins at the time a regulation is finalized. The Supreme Court in 2015 left in place a lower court's ruling backing the regulation. Circuit Court of Appeals upheld Traynor's decision, setting up the Supreme Court appeal.

WASHINGTON — A group of Democrats are raising concerns as to whether companies that received federal funding for semiconductors used the money to support stock buybacks - and criticizing their own party over how the awards are given. Raimondo has stated that CHIPS funding is not meant to pad companies' bottom lines or support stock buybacks. But lawmakers urged her to go further, and ban stock buybacks for companies that receive CHIPS funds. About $33 billion of funding from the CHIPS Act has been allocated, mostly to major companies. It also said decisions on buybacks were independent from any funds released through the CHIPS Act.

Charlie Munger wasn't just an acclaimed investor, one of the masterminds behind Berkshire Hathaway's decades of financial success. He also gave great life advice, according to billionaire philanthropist Melinda French Gates. French Gates, 59, shared her favorite lesson of Munger's during a recent commencement speech at Stanford University. "As a society, we aren't always set up to feel responsibility for the person who's next to us or the person who's on the other side of a divide or a debate," French Gates added. Similarly, French Gates urged her audience to make "strong, reciprocal bonds with other people, even if they disagree on issues big or small."

The pardon won’t automatically change the record of convicted veterans, but it will allow them to apply for a certificate that will help them receive withheld benefits. “Our nation’s service members stand on the frontlines of freedom, and risk their lives in order to defend our country. Despite their courage and great sacrifice, thousands of LGBTQI+ service members were forced out of the military because of their sexual orientation or gender identity,” Biden said. A service member’s discharge status can determine what Veterans Affairs benefits they are eligible for. To get their records changed under the pardon, veterans will need to complete an online application, which will go to their military service department.

The first presidential debate came and went, and voters gained little additional insight into each candidate's economic visions. But that gave too much power to unelected government officials, according to conservatives, who ran a coordinated, multiyear campaign to end the Chevron doctrine. The Environmental Protection AgencyEnvironmentalists fear that the end of the Chevron doctrine will mean the elimination of hundreds of E.P.A. “I would expect the industry to attack the F.D.A.’s authority to do premarket review at all,” said Desmond Jenson, deputy director of the commercial tobacco control program at the Public Health Law Center. Transit leaders in New York City are preparing to scale back billions of dollars’ worth of upgrades to the nation’s largest transit network after Gov. Kathy Hochul halted a tolling program that would have paid for improvements and repairs. Gone were plans to make subway stations more accessible to riders with disabilities, repairs to some nearly century-old infrastructure and the expansion of the Second Avenue subway line, among other now-deferred projects. The board has yet to officially revise its capital plans but did pass a resolution on Wednesday to remain prepared to put the congestion pricing program into effect once it gets the green light from Albany. Governor Hochul has not indicated when that might be.

Stocks often trade above or below their fair value, which means active managers who choose stocks wisely can score huge eye-popping returns. "What we're really looking for is opportunities where that dollar can also compound to be two, four, 10," Robotti said. "People say, 'Oh, who cares if you buy a cheap stock, the market just won't ever pay attention. When the economics of a business — even if people hate that business — are extremely strong, the stock follows." "If you bought it at 20 cents on the dollar and it doubles, you don't sell it at 40 cents on the dollar," Robotti said.

DETROIT – General Motors' Cruise autonomous vehicle unit on Tuesday announced former Amazon and Microsoft executive Marc Whitten as its new CEO. His appointment comes at a crucial time for Cruise, which is testing and relaunching its autonomous vehicles on public roadways. Following the incident, several key leaders, including Cruise CEO and co-founder Kyle Vogt, departed the company. The probe also investigated allegations of a cover-up by Cruise leadership, but investigators did not find evidence to support those claims. Cruise was a crucial part of GM's plan to double revenue to $280 billion by the end of this decade.

Washington CNN —Hunter Biden’s Washington, DC, law license has been suspended, according to a newly released order from a local court that pointed to his recent conviction on three gun crimes. The order was issued by Chief Judge Anna Elizabeth Blackburne-Rigsby of the DC Court of Appeals, which is the highest appellate court in DC and oversees the DC Bar. It is typical for bars in other states to reciprocate law license suspension or disbarment orders, meaning Biden’s license is also likely to soon be suspended in any other state where he is licensed. Biden has asked for a new trial in the gun case. During closing arguments in Biden’s gun trial, one of the prosecutors described him as a “Yale-educated defendant,” referring to the school where he earned his law degree.

CNN —President Joe Biden is expected to pardon US veterans who were convicted by the military over a 60-year period under a military law that banned gay sex, three US officials told CNN. The granting of pardons won’t automatically change convicted veterans’ records but allows those impacted to apply for a certificate of pardon that will help them receive withheld benefits. A service member’s discharge status can determine what kind of Veterans Affairs benefits they are eligible for. “For decades, our LGBTQ+ service members were forced to hide or were prevented from serving altogether,” Defense Secretary Lloyd Austin said at the time. If a certificate of pardon is issued, the service member will then have to apply to their respective military department’s board of corrections to have their military records corrected.

It seems obvious but survivorship bias is everywhere in society. I talked to Samuel Freedman, a Columbia Journalism School professor, about his recent book about Humphrey and the 1948 Democratic convention in Philadelphia. The book’s title, “Into the Bright Sunshine,” is taken from a line in Humphrey’s rousing speech on civil rights. In 1968, the Democratic Party was operating under old rules in which primary voters actually had relatively little direct effect on delegates. When Strom Thurmond and the Dixiecrats bolted from the Democratic Party in 1948, that’s the beginning of the vast majority of the White South becoming Republicans, stepping away from the Democratic Party. Activist Commentary: Starboard is a very successful activist investor and has extensive experience helping companies focus on operational efficiency and margin improvement. With 90%+ gross margins and 35% operating margins, Autodesk is a leader in AEC software. Further, its operating margins are not much worse than those of its peers at first blush. However, Starboard correctly does not judge the company's operating margins on the mean of its peer set, but by the potential embodied in its gross margins and market position. He no longer serves on the board of Autodesk, but he could certainly be an informal advisor to Starboard – or a cautionary tale for Autodesk.
