New York CNN —The long-delayed and highly controversial deal to bring Truth Social and the Trump media empire to Wall Street has a new twist – the merger could get terminated by either party. Under an updated merger agreement, both parties in the deal will have the opportunity to kill the merger between October 31 and November 21, according to a regulatory filing on Monday. Likewise, Trump Media can terminate the deal for the same reasons over the same window of time. The parties did not explain why the new termination language was added to the merger agreement. The so-called blank-check firm targeted Trump Media in the fall of 2021.

Oct 2 (Reuters) - Singapore's Vertex Technology Acquisition Corp (VTAC) (VERT.SI) will buy live streaming platform 17LIVE Inc for up to S$925.1 million (about $676 million), the special purpose acquisition company (SPAC) backed by state investor Temasek said on Monday. The pro-forma equity value of the proposed deal will be up to S$1.16 billion, VTAC said. "We see 17LIVE as a company at its inflection point, backed by a strong management bench," VTAC Chief Executive Jiang Hong Hui said. Billionaire investor Bill Ackman said Friday that U.S. regulators have approved his unique special purpose acquisition company structure, and he's ready to hunt for a deal. Investors in Ackman's unfruitful SPAC, known as Pershing Square Tontine Holdings, got a tradable right to participate in a future deal, and now it's closer to becoming a reality. In Ackman's SPARC, investors get to opt in if they like the deal and walk away if they don't. The SPARC will shortly be distributing special purpose acquisition rights at no cost to former securityholders of Pershing Square Tontine. Pershing Square said the SPARC will immediately begin to pursue a merger with private, high-quality, growth companies.

Cazoo’s debt fix points to bumpy ride

That’s not the fate of shareholders in UK-based and U.S.-listed Cazoo (CZOO.N), which has just announced a brutal debt restructuring. Under the deal announced on Wednesday, bondholders will swap $630 million of convertible notes for $200 million of fresh debt and a large slug of the equity. The debt cut will do little to fix Cazoo’s rickety engine. Although the company had 195 million pounds of cash at the end of June, it burnt through over 50 million pounds in the previous six months. And revenue this year is expected to fall nearly 40%, as customers racked by high interest rates tighten their belts.

NEW YORK (AP) — Shares of U.K. chip designer Arm Holdings rose 10% in their stock market debut, in what is the largest initial public offering of shares in nearly two years. Arm's offering is an important development for the IPO market, which has seen relatively few companies go public the past two years. Nearly 400 companies went public in 2021 as the stock market rallied for a third straight year, according to IPO tracker Renaissance Capital. Arm was previously a public company from 1998 to 2016. Goldman is one of the lead underwriters for the Arm IPO, as well as an offering from grocery delivery service Instacart, expected next week.

Redwire shares are set for takeoff, according to Roth MKM. Managing director Suji Desilva initiated research coverage of the space stock with a buy rating. The Jacksonville, Florida-based company is helping to enable integrated space missions, further space exploration and offer support for multinational missions. After multiple quarters of organic growth and EBITDA profitability, Desilva said Redwire should now see steady growth. The SEC said Alfonse Gregory Giugliano, a certified public accountant, failed to sufficiently address and remediate deficiencies in the firm's quality control system. In his role as a National Assurance Services Leader, he was aware of numerous deficiencies in Marcum's quality control system, the SEC said. The SEC in June charged marcum with a $10 million penalty for standards violations related to its audit work for hundreds of special purpose acquisition companies, or SPACs.

The deal with DHC Acquisition Corp (DHCA.O) will provide Brand Engagement Network with about $40 million in gross proceeds, the company said, confirming an earlier Reuters report. New York CNN —Digital World Acquisition Corp., the blank-check firm seeking to merge with former President Donald Trump’s media company, will get another extension to complete its troubled deal. Shareholders voted to grant DWAC (DWAC) another year to pull off its merger with Trump Media & Technology Group, which owns Truth Social, according to an SEC document posted Wednesday. Had shareholders voted against the extension, DWAC would have liquidated, and the social media platform would have to find another financial backer by September 8, 2023. It’s the second time DWAC asked for an extension for closing the deal, the first being in September 2022. In June, federal prosecutors arrested three investors on insider trading charges related to Digital World’s deal with Trump’s media company.
