Walt Disney Co. said it will acquire a 33% stake in Hulu from Comcast for approximately $8.6 billion, a deal that will give Disney undisputed control of the streaming service. Disney has actually run Hulu since 2019, when Comcast ceded its authority to Disney and effectively became a silent partner. Disney joined in 2009, planning to offer shows from ABC, ESPN and the Disney Channel. A decade later, Disney gained majority control of the business when it acquired 21st Century Fox. Disney has treated Hulu as one of its own services for years — for instance, when it launched its own streaming service, Disney+, in 2019 and immediately offered a streaming bundle that included Hulu, Disney+ and ESPN+.

But the executive transition does not settle another potential power play that could occur upon Rupert Murdoch’s death, as framed by a document called the Murdoch Family Trust. It is the vehicle through which the elder Murdoch controls News Corp and Fox Corp, through a roughly 40% stake in voting shares of each company. The Murdoch Family Trust has eight votes: four of which are controlled by Murdoch, and the remaining four controlled by the four children from his first two marriages. Upon succession, the four older children will equally inherit Murdoch’s voting shares in the trust, according to Alice Enders, Head of Research at Enders Analysis. The shares in Fox and News Corp owned by Murdoch’s children through the trust are a combination of both classes of shares.

Rupert Murdoch is stepping down as chairman of the board of both Fox Corp. and News Corp. , the companies said Thursday. Lachlan Murdoch, one of his sons, will become sole chairman of News Corp. and will continue as Fox Corp.'s executive chair and CEO. At the time, Fox had opposed having the elder Murdoch — as well as other top Fox executives — appearing in person, citing his age. Since July 2022, Murdoch had worked from his home in Montana rather than going into Fox or News Corp. offices, according to a securities filing. News Corp. owns newspapers The Wall Street Journal and New York Post, among other publications, while Fox is the parent company of right-leaning TV networks Fox News and Fox Business.

Rupert Murdoch, one of the most powerful media tycoons of the modern era, is stepping down as chairman of Fox Corporation and News Corporation at the age of 92 and handing the reins to his 52-year-old son. The takeover planning appeared to begin in 2015, when Rupert named Lachlan and his brother James Murdoch as co-chairmen of 21st Century Fox. James later left the company, and Lachlan became CEO of the Fox Corporation in 2019, following Disney’s acquisition of 21st Century Fox. With his father’s departure, Lachlan will become the sole chairman of both Fox and News, after having co-chaired the company for years. It’s unclear whether right-wing cable network’s pro-Trump rhetoric will change with Lachlan Murdoch more fully in the driver’s seat.

US judge throws out two soccer bribery convictions

REUTERS/Brendan McDermid/File Photo Acquire Licensing RightsNEW YORK, Sept 2 (Reuters) - A U.S. judge has thrown out the convictions of a former Fox executive and an Argentine sports marketing company for attempting to bribe soccer officials in exchange for lucrative broadcasting contracts. In a Friday night decision, U.S. District Judge Pamela Chen in Brooklyn said the March 9 convictions of Hernan Lopez and Full Play Group could not stand because the federal law governing honest services wire fraud did not cover foreign commercial bribery. The judge also voided Lopez's and Full Play's money laundering convictions, because they were predicated on the fraud convictions. David Sarratt, a lawyer for Lopez, said: "We are obviously pleased with Judge Chen's thorough and correct decision. At least 31 people and corporate entities pleaded guilty, and two soccer officials were convicted in a 2017 jury trial.

Less than six months after a federal jury convicted a former Fox employee and an Argentine sports marketing company of participating in a scheme to pay bribes in exchange for lucrative soccer broadcasting contracts, a judge in Brooklyn vacated the convictions on Friday. In a 55-page ruling, the judge, Pamela K. Chen, concluded that the federal wire fraud statute under which the defendants had been convicted did not apply to their actions. In a seven-week trial that ended in March, prosecutors alleged that Hernán López, who holds dual American and Argentine citizenship and who until 2016 worked for a unit of what was then known as 21st Century Fox, had been part of a scheme to make millions of dollars in secret annual payments to the presidents of national soccer federations in order to secure the rights to two widely viewed South American soccer tournaments. Mr. Lopez — who prosecutors also said had leveraged loyalty he garnered through bribes to help Fox beat out ESPN in its bid for the U.S. broadcasting rights for the 2018 and 2022 men’s World Cups — was convicted on one count of money laundering conspiracy and one count of wire fraud conspiracy. He faced up to 40 years in prison.

Hollywood financer TSG Entertainment is suing Disney for breach of contract. TSG co-finances the production and marketing costs of films in exchanges for a share of the defined gross receipts after the film's release. The group has helped co-finance around 140 films produced by 20th Century Fox, which Disney acquired in 2019, including "Avatar: The Way of Water." Noticing a decline in profits, TSG requested an audit of a sampling of three of the films it financed for 20th Century Fox. "Most egregiously, this scheme triggered a provision in the [revenue participation agreement] that entitles Fox to a 50% share of TSG's profits after the winding-up of TSG's investment vehicle."

The former N.F.L. The petition, filed in Shelby County in Tennessee, claims that when he thought he was being adopted, the Tuohys urged him to sign a conservatorship in which he relinquished his ability to enter into contracts. The lawsuit also claims that Oher, who started living with the Tuohys at age 16, unknowingly signed away the rights to his life story to 20th Century Fox in 2007. Oher’s lawyer, J. Gerard Stranch IV, declined to comment beyond what was stated in the lawsuit. For “The Blind Side,” the hit film that starred Sandra Bullock as Leigh Anne Tuohy, Tim McGraw as Sean Tuohy and Quinton Aaron as Oher, the Tuohys negotiated a contract of $225,000 plus 2.5 percent of future “defined net proceeds” for themselves and their biological children, the lawsuit said.
