Activist investor Elliott Management has a $5 billion-plus stake in Honeywell , and it is pushing the industrial conglomerate to break itself up into two companies. Elliott managing partner Jesse Cohn and partner Marc Steinberg wrote in a Tuesday letter that "the conglomerate structure that once suited Honeywell no longer does." Elliott believes that dividing Honeywell into two companies could unlock upside of as much as 75% over the next two years. In the past, Cohn and Steinberg wrote, Honeywell's carefully assembled businesses had previously driven "consistent" margin improvements. Rivian Automotive and Volkswagen Group have released details of their previously announced joint venture ahead of the operations launching Wednesday. The name of the joint venture, which was expected to close during the fourth quarter, is "Rivian and VW Group Technology, LLC." At the closing of the joint venture, VW will invest about $1.3 billion "as consideration for background IP licenses and a 50% equity stake in the joint venture." The joint venture will be headed by Rivian Chief Software Officer Wassym Bensaid and VW Group Chief Technical Engineer Carsten Helbing. The companies said developers and software engineers from both companies will join the joint venture.

The founder of Phoenix-based clothing startup NineteenTwenty pitched her company's attire on the show, alongside her husband and part-time COO Zach Sankar. Asda chair Stuart Rose said remote work doesn't suit the fast pace of the consumer goods industry. IAC said Monday it's exploring a spinoff of Angi , an online platform that connects consumers with a marketplace of home improvement service providers in their area, like electricians and landscapers. The company is considering a spinoff of Angi that would result in its stake being distributed to shareholders, IAC CEO Joey Levin wrote in a letter to shareholders that coincided with the company's third-quarter earnings release. IAC owns 85% of Angi, which also includes home services marketplaces Handy and HomeAdvisor. Media platform Dotdash Meredith and MGM Resorts "would comprise the core of IAC" in the event of an Angi spinoff, Levin said. IAC acquired Angi in 2017, and it's been weighing a spinoff of the business for several years.

The estate of collapsed crypto exchange FTX has filed a suit against Binance and its former CEO Changpeng Zhao in an effort to wrest back at least $1.76 billion, citing a "fraudulent" share deal. The FTX estate alleges that the share repurchase was funded by FTX's Alameda Research division through a combination of the company's and Binance's exchange tokens, as well as Binance's dollar-pegged stablecoin. Binance denies the allegations, saying in an emailed statement: "The claims are meritless, and we will vigorously defend ourselves." That same month, Binance's Zhao pleaded guilty to charges of violating the Bank Secrecy Act for failing to put in motion an effective anti-money laundering program and for breaching U.S. economic sanctions. In another post cited, he said: "As part of Binance's exit from FTX equity last year, Binance received roughly $2.1 billion USD equivalent in cash (BUSD and FTT).
