According to a regulatory filing on Monday, the resolution to approve the compensation received 339.3 million votes in favor and 404.8 million against at the annual meeting held on Thursday. For the 2024 fiscal year, Benioff received $39.6 million in total pay, up from $29.9 million in the prior year. Enterprise software customers are seeing their profits shrink from high interest rates and weakening consumer spending, which is reflected in cost-cutting initiatives such as shrinking software budgets. The best software stocks to buy in today's environmentAccording to UBS, the current software industry offers investment opportunities for cybersecurity and cloud infrastructure stocks. Cybersecurity is a promising growth area, with potential for rapidly increasing demand, UBS said. Demand for cloud infrastructure — the combination of hardware and software needed for cloud computing — is also increasing. Microsoft (MSFT) and Oracle (ORCL) are two cloud infrastructure providers whose respective products, Azure and Oracle Cloud Infrastructure, have performed well in 2024, in contrast to the lackluster returns of other software companies.

Starboard's stake is valued at roughly $500 million, according to people familiar with the matter. The results of that probe led to the ouster of Autodesk's then-CFO, Deborah Clifford, who was moved to a different executive role within Autodesk. The probe found that executives manipulated reporting tied to company's contract billing structure, as Autodesk shifted back to upfront payments from annualized payments, to improve those metrics. The delayed disclosure came a little more than a week after the deadline to nominate directors closed. Starboard is weighing legal action in Delaware Chancery court to compel the reopening of Autodesk's nominating window and the delay of Autodesk's annual meeting, the people said.

Humane, the AI hardware startup founded by ex-Apple designers, is seeking a buyer after its AI Pin's lukewarm debut, according to a source familiar with the matter. The company is currently in talks with HP and other firms, including more than one telecom company, the source told CNBC. Humane has hired investment bank Tidal Partners to advise on a potential deal, the source said. The AI Pin costs $699 and requires a $24 monthly data subscription to T-Mobile . But when Humane sent the AI Pin to gadget reviewers in April, it was met with a tepid reception, with many calling it untrustworthy and not very useful.

Mason Morfit, Salesforce board member and co-CEO of activist investor ValueAct, has increased his stake in Marc Benioff's software firm to just under $1 billion, acquiring $99 million worth of shares earlier this week, just days after the company reported its first revenue miss since 2006. The trade was disclosed in a regulatory filing Thursday, sending Salesforce shares up around 3.5% on the news in morning trading. The other activists eyeing Salesforce at the time included Elliott Management, Dan Loeb's Third Point, and Starboard Value. Earlier this year, Salesforce's widely reported pursuit of data management firm Informatica sent shares see-sawing before the putative target said it was not considering a sale. Salesforce shares briefly eclipsed their previous 2021 highs earlier this year, but have since given back those gains and are down 4% year-to-date.

How much do we pay for an enterprise software business that may have hit the wall, suddenly slowing down to sales growth in the high single digits from growth in the double digits? But Salesforce is the most glaring of the enterprise software behemoths, which include ServiceNow , Adobe , Workday , SAP , Intuit , and fallen star MongoDB . Or to put it another way, Salesforce needs its clients to hire more people to increase sales growth. SaaS is another form of enterprise software, is another form of applications software, is another form of kryptonite. Of course, there will be enterprise software companies that defy the slowdown.

CNBC's Jim Cramer on Thursday told investors that enterprise software companies may not be as lucrative as they have been over the past few years as artificial intelligence technology gains traction. CEO Marc Benioff described a "measured" buying environment across the industry after Covid, when companies had bought up large amounts of enterprise software. While Cramer said he's not writing off Salesforce, he suggested there may be too many enterprise software companies in the business, saying perhaps customers have purchased more of its products than they can actually use. Companies could be reevaluating their investment in enterprise software as they figure out how AI can change business operations, according to Cramer. He noted that some enterprise software is designed for jobs that AI could make superfluous.

The company's balance of margin expansion with the potential for faster top-line growth should lead to strong earnings growth. Non-GAAP operating margin benefited from the lower cost of revenues, sales and marketing, and general and administrative expenses. Management reduced its revenue growth forecast for the subscription and support business to slightly below 10% over last year. The adjusted operating margin target of 32.5% was reaffirmed and is in line with expectations. For the second quarter, Salesforce estimates revenues of $9.2 to $9.25 billion, below the $9.345 billion estimate.

After Salesforce posted its first revenue miss since 2006, CEO Marc Benioff told CNBC's Jim Cramer how the market for enterprise software companies has changed since the pandemic. The reality is, you're going to have heterogeneous buying environments, it's going to happen," Benioff said. "And we're in this post-pandemic reality where the buying environment has — and we've talked about this now for a few quarters — been very measured for enterprise software companies. Benioff said that during the pandemic, companies "aggressively" bought enterprise software. "It's been a complete financial transformation," Benioff said.

That was the promise of Cerner, the medical-records company Oracle bought in 2021 for $28.3 billion — Oracle's biggest acquisition. At the time, Cerner managed the electronic health records for a quarter of all American hospitals, including those run by the Pentagon and the Department of Veterans Affairs. Larry EllisonCerner's electronic records, in short, were a deadly disaster for the VA. Never mind the futuristic, AI-driven healthcare system Ellison envisioned. In 2015, it beat out Epic, its main competitor, for a $4.3 billion contract to handle electronic health records for the Defense Department. It had agreed to process tens of millions of crucial medical records, but it couldn't handle the subsequent deluge of data.

Watching the reveal, I found myself involuntarily gasping as researchers Mark Chen and Barret Zoph showed off GPT-4o’s new chops. Enterprise data management company Informatica is not currently in talks to be acquired, the company said Monday, after earlier reports suggested that Salesforce was interested in a roughly $10 billion deal. Informatica shares slumped more than 7% on the news, while Salesforce shares rose around 1%. The acquisition would have been Salesforce's largest since the 2021 deal to purchase Slack. Salesforce's investors also reacted negatively to the idea of the deal, sending shares down more than 7% when news of the potential purchase first broke. Salesforce CEO Marc Benioff's voracious appetite for mergers and acquisitions was one of the factors that drew a flurry of activists in 2023 seeking to rein in the company's spending.

Holly Dresden joined Shopify as head of enterprise merchant success in December after six years with Salesforce Commerce Cloud. Evan AgostiniAs it moves further into enterprise, Shopify hasn't always been subtle about zeroing in on Salesforce as a competitor. It recently launched a webpage comparing its platform with Salesforce Commerce Cloud, encouraging merchants to "join the mass migration" of brands moving from Salesforce to Shopify. But winning over enterprise retailers requires a different approach, and it's one where Salesforce has more years of experience than Shopify. Talking the enterprise talkPoaching employees from Salesforce isn't the only way Shopify has made an effort to win over enterprise customers.

But what if I told you this group shrunk its share count dramatically since 2019? The numbers tell the story: Lennar now has 276 million shares outstanding, down from 318 million five years ago. Other than Toll, most of the homebuilder management teams do not emphasize this fundamental change in share count. Management has been buying hand over fist since 2019, shrinking the share count to 215 million from 264 million. "While the implications of AI vary across sectors, we collectively believe the AI tidal wave is still in the early innings," a team of analysts led by Tristan Gerra wrote. Another name Baird recommended was cloud cybersecurity firm Cloudflare , which surged last month after topping analyst expectations in its fourth quarter. "Though AI's impact on NET's revenue is still unfolding, the company is strategically positioning itself for the shift from AI training to inference," wrote Baird analyst Shrenik Kothari.
