For its fiscal second quarter, Disney expects net additional subscribers to Disney+ between 5.5 million and 6 million, with domestic adding 7.5 million due to its agreement with Charter Communications, while international core subs decline modestly. Disney is getting closer and closer to achieving its first profitable DTC quarter, which it continues to expect in its fiscal fourth quarter. Trian Fund Management on Thursday announced it was nominating its CEO, Nelson Peltz, and former Walt Disney CFO Jay Rasulo to the media giant's board, as the firm wages a contentious proxy fight with Disney. The firm announced it was seeking two board seats for Peltz and another media executive, following what it called "significant value destruction and missteps" that the board oversaw. Trian's proxy fight comes as Disney CEO Bob Iger tries to right the ship after a broad restructuring that resulted in thousands of layoffs. Disney has said the proxy fight is apparently in part due to a personal grudge held by Peltz's ally and former Marvel boss Ike Perlmutter. Trian has oversight of shares owned by Perlmutter, who has been an outspoken critic of Disney CEO Bob Iger.

Activist investor Ancora on Tuesday urged Disney to put Nelson Peltz on its board, days after Peltz and his firm, Trian, launched a proxy fight with the entertainment giant. "Mr. Peltz (or a qualified designee) would make a fantastic addition to Disney's Board." Trian oversees about $3 billion in Disney stock, but the overwhelming bulk of the shares is owned by Perlmutter, whom Disney laid off earlier this year. Trian is seeking more than two seats on Disney's board, which is populated by directors seen as loyal to Iger. Ancora owned more than 60,000 shares of Disney as of September, according to FactSet.

Broadridge Financial Solutions , which provides proxy services for big corporations during boardroom brawls, could generate as much as $50 million in event-driven revenue from the Peltz-Disney war, according to Evercore ISI analyst David Togut. During Trian's 2017 proxy battle against Procter & Gamble, the consumer giant paid about $60 million to Broadridge for proxy service, Togut said. Evercore ISI said a company's retail investor base is the best representation for Broadridge's revenue. Since Disney has 81% of the retail shares P & G has, it estimated that Broadridge could make up to $50 million from the proxy war. Evercore ISI set an outperform rating on Broadridge and raised its 12-month price target to $230 from $226.

So far this morning there is a big auto stock upgrade and a big beverage downgrade, among other calls. Morgan Stanley dimmed its view on Citizens Financial , downgrading the stock to equal weight from overweight but maintained its $31 per share price target, implying roughly 9% upside. The firm made the chipmaker its top large cap pick on Monday, and reiterated an overweight rating alongside a $620 per share price target. The analyst raised his price target from $25 to $40, which represents 14% upside. "We continue to see ABI's broadly EM focused sales exposure as attractive combined with the company's market leading market share positions," analyst Mitch Collett said.

The personal consumption expenditures price index, excluding food and energy prices, rose 0.2% for the month and 3.5% on a year-over-year basis, the Commerce Department reported. Headline inflation was flat on the month and at a 3% rate for the 12-month period, the release also showed. Energy prices fell 2.6% on the month, helping keep overall inflation in check, though food prices rose 0.2%.

Activist investor Nelson Peltz and his firm are seeking more than two seats on Disney's board, according to a person familiar with the matter, setting the stage for a proxy fight. "Mr. Peltz, in partnership with Isaac Perlmutter, a former Disney executive, intends to take its case to shareholders. Mr. Perlmutter owns 78% of the shares that Mr. Peltz claims beneficial ownership of, or more than 25 million of the 33 million shares," Disney said in a statement. Disney shares are up about 6% this year, far underperforming the S&P 500. Peltz had earlier pushed for a seat on Disney's board after Trian took an approximately $800 million stake in Disney.

Activist investor Nelson Peltz's renewed fight for Disney (DIS) board seats is a positive for shareholders because he will push for a level of financial discipline that the company has lacked. Peltz's Trian Partners, a major Disney shareholder, said Thursday it will launch a new challenge to get board representation. As part of its release, Trian said the investment firm's Disney stake is currently worth roughly $3 billion.
