It said it was ready to appeal to other shareholders to make changes to the 12-member board, signaling a possible proxy fight next year. Elliott sharply criticized management and the board saying a "lack of oversight ... contributed to its irresponsible stewardship and flawed financial policy." "There was a lot of excitement and hope at the return of Bob Iger a year ago," a current Disney staffer told Insider. Uncertainty about the company's future and about who's deciding what on the creative side has left execs in a state of inertia, according to an entertainment lawyer with knowledge of Disney's business. The declining linear TV business culminated in a standoff with Charter Communications over terms for a new contract for carrying Disney's cable channels. And Disney's streaming business, which was supposed to make up for the decline in cable revenues, has lost $11 billion since Disney+ launched in 2019. Negotiations between Exxon and Pioneer are advanced but have not yet led to an agreement over the acquisition of the largest oil producer in Permian basin. So far, shareholders profited as the share price more than doubled since early 2021 when activist investors publicly pushed for changes. Big Oil is responsible for the bulk of human-induced greenhouse gas emissions and pressure for action is building. "Investor pressure has decreased; they're backtracking... the big investors are enabling this," said climate investment group Follow This founder Mark van Baal. Privately, investors worried if Exxon bowed out of production, someone else would pick up the slack and nothing would be gained for shareholders or energy transfer.

Supreme Court ethics concerns aren't going away

The ethics concerns are not going away, according to legal experts, even as the court in its new term takes up cases that could further expand gun rights and curtail the regulatory authority of federal agencies. Some conservatives view the ethics narrative involving the court as cooked up by liberals upset at its rightward leanings. Supreme Court justices decide for themselves whether to disqualify themselves from cases due to a conflict of interest. Thomas, Alito and lawyers involved in the two cases did not respond to requests for comment. The lack of an ethics code, Fogel added, "will continue to fuel doubts, fairly or unfairly, about the court's integrity."

A U.S. flag flies at a Goodyear Tire facility in Somerville, Massachusetts, U.S., July 25, 2017. The decision comes after activist investor Elliott Investment Management in May criticized Goodyear for mismanagement and lagging behind rivals Michelin and Bridgestone (5108.T). Elliott, which holds a 10% stake in the tire company, had also pushed Goodyear for an operational review and sale of its stores. The Ohio-based firm forecast total pre-tax charges of between $210 million and $230 million by 2025 due to the restructuring. Last month, Goodyear swung to a loss of 73 cents per share for the second quarter, from a profit of 58 cents per share a year earlier.
