Salesforce investors voted against the company's compensation plan for top executives, after shareholder advisory groups raised concerns about equity awards granted to CEO Marc Benioff. According to a regulatory filing on Monday, the resolution to approve the compensation received 339.3 million votes in favor and 404.8 million against at the annual meeting held on Thursday. For the 2024 fiscal year, Benioff received $39.6 million in total pay, up from $29.9 million in the prior year. While Benioff's salary was flat at $1.55 million, he received additional stock and option awards and non-equity incentive plan compensation, according to the proxy statement. Benioff was already among the largest holders of Salesforce, with a stake of over 2% valued at close to $6 billion.

Humane, the AI hardware startup founded by ex-Apple designers, is seeking a buyer after its AI Pin's lukewarm debut, according to a source familiar with the matter. The company is currently in talks with HP and other firms, including more than one telecom company, the source told CNBC. Humane has hired investment bank Tidal Partners to advise on a potential deal, the source said. The AI Pin costs $699 and requires a $24 monthly data subscription to T-Mobile . But when Humane sent the AI Pin to gadget reviewers in April, it was met with a tepid reception, with many calling it untrustworthy and not very useful.

CNBC's Jim Cramer on Thursday told investors that enterprise software companies may not be as lucrative as they have been over the past few years as artificial intelligence technology gains traction. CEO Marc Benioff described a "measured" buying environment across the industry after Covid, when companies had bought up large amounts of enterprise software. While Cramer said he's not writing off Salesforce, he suggested there may be too many enterprise software companies in the business, saying perhaps customers have purchased more of its products than they can actually use. Companies could be reevaluating their investment in enterprise software as they figure out how AI can change business operations, according to Cramer. He noted that some enterprise software is designed for jobs that AI could make superfluous.

The company's balance of margin expansion with the potential for faster top-line growth should lead to strong earnings growth. Enterprise data management company Informatica is not currently in talks to be acquired, the company said Monday, after earlier reports suggested that Salesforce was interested in a roughly $10 billion deal. Informatica shares slumped more than 7% on the news, while Salesforce shares rose around 1%. The acquisition would have been Salesforce's largest since the 2021 deal to purchase Slack. Salesforce's investors also reacted negatively to the idea of the deal, sending shares down more than 7% when news of the potential purchase first broke.
