Mars buys Kellanova, maker of Cheez-It and Pringles

London CNN —Mars has agreed to buy Kellanova in a deal that values the maker of Cheez-It and Pringles at almost $29 billion. The mega-deal will create a global snacks behemoth, adding a bevy of new nibbles to Mars’ portfolio of brands, which includes Snickers, M&M’s, and the Mars bar. “The Kellanova brands significantly expand our snacking platform, allowing us to even more effectively meet consumer needs and drive profitable business growth,” Andrew Clarke, global president of Mars Snacking, said in a statement. The Kellanova acquisition ranks in the top 10 global food and beverage mergers and acquisitions since 1995, according to Dealogic. The Kellanova deal is expected to close in the first half of next year, subject to shareholder and regulatory approval.

Family-owned candy giant Mars, whose brands include M&M's and Snickers, said on Wednesday it would buy Cheez-It and Pringles maker Kellanova in a nearly $36 billion deal, making it the biggest deal in the packaged food industry. Mars will pay $83.50 per share in an all-cash deal for Kellanova, representing about a 33% premium to Kellanova's close on Aug. 2, before Reuters first reported that Mars was exploring a deal for the Pringles maker. Kellanova, which split from WK Kellogg last October, is rooted in a salty snacks business and sells cereal outside of North America. WK Kellogg was left with the North American cereal business of Kellogg, the original parent company. Kellanova logged net sales of more than $13 billion in 2023.

Chipotle stock fell as much as 10% in premarket trading Tuesday as the company announced CEO Brian Niccol would be leaving his role on Aug. 31 to become CEO of Starbucks . Niccol began as Chipotle CEO in March 2018. Chipotle stock has risen more than 700% since since he took over. Niccol helped lead Chipotle through a foodborne illness scandal and oversaw the chain of restaurants during the pandemic. Before taking over at Chipotle, Niccol was the CEO at Yum Brands' Taco Bell.

Starbucks announced Tuesday it's replacing CEO Laxman Narasimhan with Chipotle CEO Brian Niccol as the coffee chain tries to reverse a sales slump. Before joining Starbucks, Narasimhan was chief executive of Reckitt, which owns brands like Lysol and Mucinex. Narasimhan's surprise ouster also suggests that Starbucks' board isn't interested in a deal with activist investors. When news of Elliott's stake in Starbucks first broke in July, the hedge fund offered Starbucks' board a settlement that would protect Narasimhan's job, CNBC previously reported. Starbucks' board did not initially respond or engage with Elliott for some time, driven in part by the lingering influence of Schultz.

"You buy Home Depot before a rate cut, so I mean, it's ridiculous that this stock was down 15. That's just a knucklehead thing to do," Jim Cramer said. Blink Fitness, a budget-friendly gym chain owned by luxury fitness company Equinox Group, has filed for Chapter 11 bankruptcy protection. The fitness brand, with more than 100 centers in the U.S., is the latest chain to seek bankruptcy post-pandemic, following companies such as New York Sports Club, 24 Hour Fitness and Gold's Gym. Earlier this year, Equinox also launched a $40,000 annual gym membership aimed at its most affluent member base in an effort to improve its finances as well. Unlike Blink, Planet Fitness reported strong membership growth of 7% year over year in its second quarter to reach a total of 19.7 million members. Planet Fitness shares recently hit a 52-week high, reaching levels not seen since May 2023.

As fears of a recession grip stock markets and consumers get squeezed, outperforming fund manager Sean Peche is betting on an unexpected retail player: the French multinational Carrefour . Peche, a portfolio manager at Ranmore Fund Management, highlighted the company's defensive nature and ability to grow earnings amid inflation as a key attractive quality. Peche noted that Carrefour has significantly increased its revenue over the past few years while maintaining stable inventory levels. The retailer's total revenue increased from 74.2 billion euros ($80.96 billion) in 2018 to 84.9 billion euros in 2023, according to FactSet data, a rise of 14.4%. The fund manager also highlighted Carrefour's growth in own-label products, which now account for nearly 40% of revenues.

Activist involvement is heating up at Starbucks , increasing the likelihood that the coffee chain makes changes necessary to boost its languishing stock price. This one-two punch of activist news is sending shares of Starbucks higher by more than 2% Monday, to nearly $77 each. We upgraded our rating on Starbucks' stock to a buy-equivalent rating last month on hopes that Elliott's presence would lead to positive changes inside the company. Board seats aside, Elliott's exact plan to lift Starbucks' stock is not known. This is not the first time Elliott and Starboard have been in a Club stock at the same time.

Brands love when social media stars take to Instagram or TikTok to advertise their soap, probiotic sodas, makeup and more. But many of those same brands are eager to avoid influencers who discuss politics. Making sure the two don’t mix has become a fraught exercise in the growing, and often unpredictable, influencer industry. With the presidential election looming, some marketing agencies have started to pitch advertisers on new tools that grade the so-called brand safety of social media personalities. Some of the tools even use artificial intelligence to predict the likelihood that a particular influencer will discuss politics in the future.
