Trump Media and Technology Group and the SPAC have faced increasing scrutiny in recent months. DWAC and Trump Media face a Thursday deadline to complete the merger, and the SPAC is eagerly seeking an extension. Trump Media and Technology Group and Truth Social were founded after Trump was banned from Twitter following the Jan. 6, 2021, Capitol riot. Trump Media announced in October 2021 that it would merge with DWAC to take the company public. Trump Media, headed by Republican former U.S. Rep. Devin Nunes, has said it also plans on launching TMTG News and TMTG+ video streaming services.

The current deadline to take Trump Media public is Sept. 8. Trump Media and Technology Group controls Truth Social, which is reportedly facing severe financial difficulties. DWAC warned last week that damage to the former president's dwindling popularity could hurt the deal. The Securities and Exchange Commission as well as the Justice Department have been investigating the proposed merger between DWAC and Trump Media. Federal prosecutors have subpoenaed Trump Media as it probes possible undisclosed conversations between the SPAC and Trump Media employees that may have violated securities regulations.

SPAC mergers announced last year have yet to close and are up against the clock. In 2021 alone, they raised nearly $163 billion, and 275 merger deals were announced, according to data from Dealogic. Several SPAC mergers are now in limbo, among them embattled mortgage startup Better.com, fintech company Aspiration, and crypto startup Bullish, which all announced their SPAC mergers more than a year ago. Those price tags are no longer reliable as they've become outdated, adding an extra challenge to securing financing to close deals during a downturn, experts said. Deadlines to close SPAC mergers can vary depending on the lifespan of the blank-check company in question, but typically range from a year to two years.

View has struggled since going public less than two years ago via SPAC, and was nearly delisted by the New York Stock Exchange for failing to file numerous financial statements. For those looking from the outside, View's troubles came on suddenly, but insiders said the company burned cash and struggled with product failures for years. Insider spoke with 27 former employees and two current employees across View's finance, sales, marketing, factory-operations, engineering, recruiting, and IT departments. "He's always been able to pull a rabbit out of a hat when it comes to procuring more money for the company," one banker familiar with View said.

Litinsky is a former "The Apprentice" contestant who reportedly pitched Truth Social to Donald Trump. Andy Dean Litinsky — who sometimes goes by just Andy Dean — appeared as a contestant on the first season of "The Apprentice" with Trump in 2004, and was hired by Trump in 2006 to head up his production company Trump Productions. The New York Times, The Guardian, and Reuters reported Litinsky pitched the idea for Truth Social to Trump along with fellow former "The Apprentice" cast member Wes Moss in January 2021. One source told The Guardian in April that Litinsky and Moss were the "senior, day-to-day leadership" at Trump Media and Technology Group, the company behind Truth Social.

We generate a present value for companies by estimating these outyear numbers and then discounting them to the present day using a discounted cash flow (DCF) model. That increased denominator means that present value of future earnings and cash flows declines. However, the present value of Company B's $10 in earnings is worth increasingly more relative to Company A's as rates rise. When rates go up — or are expected to go up — investors value companies using a lower valuation multiple. These so-called value stocks typically already have low multiples, making the risk of contraction less of an issue.
