"It is forecasted that the tender offer will be successful," JIP said in a statement, suggesting that at least two-thirds of shareholders have tendered their shares. The final results of the tender offer will be announced once they are finalised, JIP added. Now that JIP has gained a two-third majority, the remaining shareholders would be squeezed out upon a vote at a planned emergency shareholder meeting.

Other major shareholders, Elliott Management and Farallon Capital Management, both have their executives on Toshiba's board which has unanimously approved the JIP takeover. Singapore-based fund 3D Investment Partners, previously Toshiba's second-largest shareholder, revealed in a filing in March that it had cut its stake to 4.90% from 7.20%. Sources have said top activist shareholders were eager to exit, even though the offer price was unsatisfactory.

Toshiba said in a statement that procedures under foreign competition laws and regulations in some jurisdictions are not expected to be completed until after Aug. 1. The Toshiba board has approved the buyout offer, which values the electronics-to-power stations maker at 2 trillion yen ($14.35 billion) and would put it in domestic hands after years of battles with overseas activist shareholders. TOKYO, July 15 (Reuters) - Japan's Toshiba (6502.T) plans to establish a domestic supply chain for offshore wind power equipment together with U.S. manufacturer General Electric (GE.N), Nikkei reported on Saturday, as Japan is expanding in renewable energy in a zero-carbon push. Japan's offshore wind power market is set to grow as the government aims to install up to 10 gigawatts (GW) of offshore wind capacity by 2030, and up to 45 GW by 2040, as part of its decarbonisation push. Last month, the government finished accepting bids for the second round of offshore wind power tenders to build 1.8 GW of capacity in four areas, with results yet to be announced. According to Nikkei, the equipment supply chain would involve around 100 small and medium-sized companies with focus on the areas where offshore wind capacity should be installed. In 2021, Toshiba and GE announced a strategic partnership to localise GE's Haliade-X offshore wind turbines manufacturing in Japan, as the U.S. company wants its technology to be as competitive as possible in Japan's offshore wind auctions.

TOKYO, May 19 (Reuters) - Japan's Nikkei share average rallied on Friday to the highest since August 1990, the country's so-called "bubble" era, driven by a confluence of positive factors from strong earnings to optimism over a U.S. debt ceiling deal. The broader Topix (.TOPX), which had reached the post-bubble milestone on Tuesday, extended its climb to as high as 2,171.37. Foreign buying thanks to increased investment by Warren Buffett and a push for better corporate governance by the Tokyo Stock Exchange also provided some impetus. The Nikkei had rocketed 6.2% from the May 10 close - when sweeping rally began - to reach Friday's high. "Investors are going to spend today thinking hard about whether this Nikkei rally will continue," said Kazuo Kamitami, an equity strategist at Nomura Securities.

HONG KONG, May 10 (Reuters Breakingviews) - ValueAct Capital’s chief Mason Morfit prefers to chide undervalued conglomerates behind closed doors. In its latest 151-page presentation, ValueAct took its case directly to shareholders, the second time it has seen fit to do so in its history. That highlights the U.S. fund’s frustration from its two-year long campaign calling for Seven & i to spin off its 7-Eleven convenience stores, among other things. That implies a standalone 7-Eleven could be worth 10 trillion yen, roughly a quarter more than its parent today. He may have a point, and in truth ValueAct has far more experience turning around technology companies than food retailers.
The committed capital to the fund has exceeded the firm's initial target of $5 billion, said one of the two people and a third source with knowledge of the fundraising. April 19 Reuters) - Seagate Technology Holdings (STX.O) has agreed to pay a $300 million penalty in a settlement with U.S. authorities for shipping over $1.1 billion worth of hard disk drives to China's Huawei in violation of U.S. export control laws, the U.S. Department of Commerce said on Wednesday. Seagate sold the drives to Huawei between August 2020 and September 2021 despite an August 2020 rule that restricted sales of certain foreign items made with U.S. technology to the company. Seagate shipped 7.4 million drives to Huawei for about a year after the 2020 rule took effect and became Huawei's sole supplier of hard drives, the Commerce Department said. The other two primary suppliers of hard drives ceased shipments to Huawei after the new rule took effect in 2020, the department said. Even after "its competitors had stopped selling to them ... Seagate continued sending hard disk drives to Huawei," Matthew Axelrod, the Commerce Department's assistant secretary for export enforcement said in a statement.
TOKYO, April 10 (Reuters) - Japan Display Inc (6740.T) said on Monday it has formed an alliance with China's HKC Corporation Ltd (HKC) to cooperate on next-generation OLED technology, chip fabrication, and auto displays, sending the Japanese company's shares 10.5% higher. Japan Display and HKC will jointly plan and build fabs using Japan Display's eLEAP OLED technology, targeting mass production in 2025, the Japanese company said. Japan Display is planning more than one plant under the alliance with HKC, Chief Executive Scott Callon told a briefing, adding the tie-up would bring together Japan Display's technology and HKC's cost competitiveness. Japan Display, a maker of phone and computer displays, is on a restructuring drive to turn around its struggling businesses. Japan Display was formed in 2012 when the LCD businesses of Hitachi Ltd (6501.T), Toshiba Corp (6502.T) and Sony Corp (6758.T) merged in a government-brokered deal.

MELBOURNE, March 28 (Reuters Breakingviews) - It’s hard working in Asia-Pacific private equity these days. On Monday Brookfield Asset Management (BAM.TO) and MidOcean Energy agreed to take Australia’s Origin Energy (ORG.AX) private for A$18.7 billion ($12.5 billion). A few days earlier Toshiba’s (6502.T) board tentatively backed Japan Industrial Partners’ $15.3 billion offer. Origin’s buyers, which plan to split the business in two, had already made three offers before Origin accepted. They do not reflect the views of Reuters News, which, under the Trust Principles, is committed to integrity, independence, and freedom from bias.
Other investors who have held Toshiba longer may not be so lucky: the offer price represents a 15% discount from a December 2014 high. Some were introduced to JIP by Toshiba's management, some of the people said, declining to be identified because the information is not public. Toshiba's management, including CEO Taro Shimada, will stay on, while the government keeps Toshiba's sensitive defence and nuclear technologies in Japanese hands. Toshiba felt stable shareholders were desirable to end the tumult, unlike current shareholders "with many differing views", it said. JIP does not see the need for big strategy adjustments, Toshiba said.
