Semiconductor design and software firm Synopsys on Tuesday announced it would acquire Ansys , an engineering and product design software firm, in a cash-and-stock deal valued at approximately $35 billion. Synopsys will pay consideration of roughly $390 per share: $197 per share in cash and roughly one-third of a Synopsys share for each Ansys share. Synopsys shares were up 3% on Tuesday morning, after a 12% slump since The Wall Street Journal reported in December that the two companies were in advanced talks. Ansys shares slipped 5% but were up more than 14% in that same period since December. The remaining $3 billion nonequity consideration will come from Synopsys' cash.

Nov 29 (Reuters) - Synopsys (SNPS.O) on Wednesday forecast first-quarter revenue above Wall Street expectations, as artificial intelligence (AI) adoption boosted demand for the company's chip designing software. Synopsys forecast current-quarter revenue between $1.63 billion and $1.66 billion, above analysts' average estimate of $1.60 billion. The rise in custom chip design efforts by firms like Microsoft (MSFT.O) and Alphabet (GOOGL.O) has also boosted demand. "You need a very specific silicon in order to power that (AI) training," Sassine Ghazi, the company's president and chief operating officer, said of the boom in AI chips in an interview. Ghazi told Reuters that increased use of Synopsys AI services helped boost the value of some of its contracts by 20% at renewal time.

Wall Street is set to wrap up a strong month next week as stocks gun for new highs heading into year end. The Nasdaq Composite is on pace to close out the month with a double-digit advance, up 10%. In contrast to September and October, which are typically weak periods for stocks, the seasonal patterns are now in favor of equities. But Synopsys (SNPS.O) on Wednesday said it has worked with Microsoft to create its own Copilot to help with designing computer chips. Synopsys trained the system on huge troves of data it has accumulated over decades in business to help with that. "But if you're not generating (chip design work) that is over 99.9% accurate, you're introducing a bug in your chip, which is worth hundreds of millions of dollars." Fixing bugs is one of the lengthiest and costliest parts of the chip design process. Microsoft said it has already started to test the Synopsys system with its own chip design teams, which on Wednesday unveiled the company's first in-house data center chips.

It is working on a strategy to attract more semiconductor investment, including from foundries, which focus on manufacturing chips. Meetings with half a dozen U.S. chip firms took place in recent weeks, including with fab operators, Vu Tu Thanh, head of the Vietnam office of the US-ASEAN Business Council, told Reuters. He declined to identify the firms because talks were still at a preliminary stage. Arm’s IPO investors are effectively paying a slight premium while also betting that both growth and profitability are about to soar. Haas could then charge higher royalty rates. In the last calendar year, the company estimated that its royalty revenue equated to 1.7% of total worldwide spending on Arm-based chips. It’s not clear how many important Arm customers like Apple (AAPL.O), Nvidia (NVDA.O) and Samsung Electronics (005930.KS) have agreed to pay higher royalty rates. Nor will rising royalty rates necessarily compensate for possibly ongoing sluggish sales of smartphones, its key historic market.

Under SoftBank, Arm’s operating margin has dropped to around 25%, from roughly 40% in 2015 – a consequence of Son’s preference for heavy investments in research. If Arm nabbed the same multiple, its enterprise value would be $33 billion, using the above growth and operating margin. To mimic and sustain Nvidia-esque growth, Arm CEO Rene Haas would have to keep ramping up investments in engineers and sales teams, which would weigh on margins.

Chip design firm Arm said in a Tuesday filing that Apple , Google parent Alphabet , Nvidia and other technology companies are interested in buying up to $735 million in its shares as it seeks to go public on Nasdaq. Chip foundry operators Intel , Samsung and TSMC are interested in investing alongside the three trillion-dollar technology companies, along with AMD and MediaTek, which make chip designs based on Arm architectures. In 2020, Nvidia announced plans to acquire Arm from SoftBank for $40 billion, but regulators in the U.S. and the U.K. pushed back. The fact that Nvidia wasn't able to buy Arm didn't stop Nvidia's co-founder and CEO Jensen Huang from talking up Arm during the chip-design company's IPO roadshow.
