Explainer: What's at stake in Telecom Italia grid deal?
  + stars: | 2023-09-25 | by ( ) www.reuters.com   time to read: +3 min
TIM is selling NetCo, a venture comprising both TIM's domestic fixed-access network and international wholesale telecoms operator Sparkle. TIM's landline network covers nearly 89% of the country's households and its fibre cable stretches over 23 million kilometres across the country. Beyond TIM's grid, a second major network is being rolled out by Open Fiber, a company controlled by CDP and Australian investment group Macquarie. There had long been talks of trying to combine TIM's network with Open Fiber but competition concerns have hampered such a deal so far. With its 24% voting stake, Vivendi could throw a spanner in the works at any TIM shareholder meeting to vote on a deal or challenge it in the courts.

Less ethical US foreign policy requires new logic
  + stars: | 2023-09-18 | by ( Hugo Dixon | ) www.reuters.com   time to read: +7 min
Russia’s invasion of Ukraine and rising tensions with China are now driving U.S. foreign policy, and ethical considerations have taken a back seat. Even so, groups such as Amnesty International and Human Rights Watch are concerned. But the United States considers all to have poor records when judged against the Universal Declaration of Human Rights. While it may make sense for the United States to choose the lesser evil, it is now unclear what role human rights play in American foreign policy. Although he didn’t connect this idea to human rights, that seems to be part of the thinking.

Under the restructuring, Kanghui will effectively become a separately listed company via transactions involving power and heating firm Dalian Thermal Power (600719.SS), which will buy 100% of Kanghui for 10.15 billion yuan ($1.39 billion) in shares. This will optimize Kanghui's structure and expand its funding channels, Hengli said in a filing to the Shanghai stock exchange. Hengli also said it will become indirect controlling shareholder of Kanghui after the transaction, retaining its control over the firm. Dalian Thermal will issue 2.3 billion shares to Hengli and a unit of the company which makes chemical fibre, said the filing. The transactions will change Dalian Thermal's controlling shareholder from a firm backed by the state asset regulating authority in the city of Dalian to Hengli Petrochemical, Dalian Thermal said.

Telefonica said it was informed Tuesday about STC'S investment, after the companies had become more acquainted in recent months. STC sought to keep the stake under wraps until it could buy at least 9.9% of Telefonica, the person said. Middle Eastern investors have been taking stakes in Spanish companies for some time.

Sept 6 (Reuters) - Australia's TPG Telecom Ltd (TPG.AX) has extended until Oct. 4 an exclusive due diligence period granted to rival Vocus Group for the A$6.3 billion ($4.02 billion) offer for its non-mobile fibre assets. Discussions between the parties are ongoing and incomplete and its board has not made any decision to accept any offer, TPG said on Wednesday. Reuters in August reported that TPG, one of the country's top telecom firms, had received a non-binding offer from Vocus to buy some of its non-mobile fibre assets. Vocus, formed by infrastructure investors Macquarie Infrastructure and Aware Super, specialises in wholesale fibre networks. It has offered to buy certain Enterprise, Government and Wholesale (EGW) assets and associated fixed infrastructure assets, including the wholesale broadband business, Vision Network.

Also in Spain, rivals including H&M, Mango and Inditex have created a non-profit association to manage clothing waste, responding to an EU law requiring member states to separate textiles from other waste from January 2025. OBSTACLESThe obstacles to significantly reducing clothing waste are formidable, despite the EU crackdown, industry sustainability commitments and initiatives like the Moda Re expansion. Adidas (ADSGn.DE), Bestseller, and H&M (HMb.ST) have invested in Finnish start-up Infinited Fiber Company, which manufactures fibre out of textile waste, cardboard and paper. Patrick Drahi’s telecoms group is sitting on a $60 billion debt burden, and faces rising borrowing costs and a corruption investigation. Drahi will therefore need to sell assets to cut debt, which starts to come due in 2025. Kirby has previously served as president and CEO of Swedish telecoms provider Telia, with experience at Virgin Media and Denmark's TDC. She has been a member of the BT Group board for the past four years. His legacy includes BT's push to build a national fibre network, offering discounted wholesale fibre pricing to major broadband providers in exchange for shifting customers to the grid. U.K. telecoms regulator Ofcom in May ruled that BT subsidiary Openreach's Equinox 2 wholesale pricing scheme was allowed. "Based on the evidence available to us, we don't consider Openreach's new pricing discounts to be anti-competitive," Ofcom said at the time.

New BT boss’s biggest test is investor relations

LONDON, July 31 (Reuters Breakingviews) - BT’s (BT.L) board faced the challenge of hiring a new CEO willing to implement a turnaround strategy decided by their predecessor. It has solved that problem by appointing one of its own members, Allison Kirkby, to the post vacated by outgoing Philip Jansen. Shares in the Swedish telco sank 4% on news of her departure, suggesting Telia’s loss is a gain for BT. Kirkby won’t take over until January 2024 but, having sat on BT’s board for more than four years, she should be able to hit the road running. Keeping these two investors on her side will be the real test for Kirkby at BT.

LONDON, July 28 (Reuters) - French telecoms firm TDF is studying options for its fibre business including a sale, four people familiar with the matter told Reuters, in a deal that could value the fibre unit upwards of 1 billion euros. The sellers are looking for as much as 1.3 billion to 1.6 billion euros for the fibre unit, according to one of the people, a price that buyers may find difficult to swallow. TDF - a former unit of France's leading telecoms operator Orange - provides broadcasting, fibre and telecoms infrastructure with some of its radio antennas sitting on top of the Eiffel Tower in Paris. The fibre unit's EbitdaAL, which deducts the cost of the leases from EBITDA, reached 28.7 million euros last year up from 21.6 million euros a year earlier, while revenues grew 42.8% to 52 million euros, according to TDF’s latest annual results. Two of the sources said the fibre unit's valuation will depend on the number of homes connected to fibre, market penetration and growth rate.

BT reiterates 2024 outlook on cost control and broadband demand
  + stars: | 2023-07-27 | by ( ) www.cnbc.com   time to read: +1 min
BT Group, Britain's biggest broadband and mobile provider, reiterated its full-year outlook on Thursday as cost control and demand for broadband helped to offset inflationary pressures. The group said its adjusted core earnings rose 5% in the first quarter to 2 billion pounds ($2.6 billion), in line with analyst forecasts. Jansen said this month he would step down within the next year, a couple of years before the completion of his ambitious full-fibre roll-out. Its shares are down 30% in the last year as the cost of building out new fibre and 5G networks, and the hit to free cash flow, weighed on the business. BT said its Openreach network division was now 44% of the way through its full fibre build, with total fibre connections growing to 3.5 million.

BRUSSELS, July 12 (Reuters) - U.S. chipmaker Broadcom (AVGO.O) secured EU antitrust approval on Wednesday for its $61 billion proposed acquisition of cloud computing firm VMware (VMW.N) after offering remedies to help rival Marvell Technology (MRVL.O). The deal, Broadcom's largest ever, will help the chipmaker diversify into enterprise software. Broadcom offered Marvell and other rivals interoperability commitments related to its Fibre Channel Host-Bus Adapters (FC HBAs), a kind of storage adapters, the European Commission said, confirming a Reuters story last month. Marvell and other rivals will also have guaranteed access to the source code for all of Broadcom's current and future FC HBA drivers through an irrevocable open source license. "The commitments offered by Broadcom will enable its only rival Marvell, to continue competing on equal footing and ensure a similar protection for any future entrants," EU antitrust chief Margrethe Vestager said in a statement.

LONDON, July 10 (Reuters) - Britain's BT (BT.L) said on Monday it had started the hunt for a new chief executive after Philip Jansen told the board he planned to step down at "an appropriate moment" within the next year. He also recently set out his longer-term vision for BT, saying it could cut potentially over 40% of its workforce once it has completed the fibre rollout and adapted to new technologies such as artificial intelligence. "This is creating a much stronger BT Group which is starting to drive growth for both investors and the UK." Jansen, a former boss of Worldpay, took over at the top of BT in February 2019. "The succession process to replace Philip is something that the board was well prepared for," Chairman Adam Crozier said.

Jansen had informed BT's board of directors that he plans to leave at "an appropriate moment" within the next 12 months, BT said on Monday. Since early 2019, Jansen has steered BT through a crucial period in its 177-year-history, secured funding for a national fibre network for 25 million homes and businesses and handled the arrival of billionaire investor Patrick Drahi on the shareholder register. "We suspect investors will find this transition a little premature given the fruits of BT's fibre investments have still yet to be proven out," analysts at J.P.Morgan wrote in a client note. MADRID, July 7 (Reuters) - Telefonica (TEF.MC) has sold a 54% stake in its fibre optic network in Peru to U.S. private equity fund KKR (KKR.N) and 10% to Entel's (ENTEL.SN) local business, the Spanish telecoms group said on Friday, adding that it will retain the remaining 36%. In many markets, the company has separated the infrastructure into different units to maximise the value of its disposed assets. The Spanish company did not disclose the value of the transaction but said the deal would cut its debt by 200 million euros ($217.8 million). The transaction valued 100% of the unit at about 550 million euros, including debt, according to a banking source close to the deal.
