STC does not intend to acquire majority control of Telefonica, it added in a statement. STC is Saudi Arabia's largest telecoms operator and also owns subsidies and has stakes in companies operating in Kuwait and Bahrain. It is 64% owned by Saudi Arabia's sovereign wealth fund, the Public Investment Fund (PIF), the main engine of Crown Prince Mohammed bin Salman's Vision 2030 to wean the economy off its dependence on oil.

AMSTERDAM, Aug 17 (Reuters) - Investment company Exor (EXOR.AS) was able to build a 15% stake in Dutch healthcare group Philips (PHG.AS) without triggering the usual disclosures thanks to derivatives deals through Goldman Sachs, regulatory filings show. Exor's investment was seen as a vote of confidence in Philips and boosted the Dutch company's shares. Filings by the Dutch Financial Market Authority AFM dated Aug. 14 but published late on Wednesday showed Goldman Sachs had taken an 12.11% stake in Philips using a derivatives structure that included 95 million call options. Sources confirmed to Reuters earlier this week that Goldman Sachs acted on behalf of Exor but could not give more details. Exor and Goldman Sachs (GS.N) declined to comment.

LONDON, Aug 11 (Reuters) - U.S. hedge fund Davidson Kempner Capital Management (DK) said on Friday it had agreed to sell Prelios to fintech firm ION Group, in a long-awaited deal which two sources said valued the Italian credit manager at 1.35 billion euros ($1.5 billion). DK, which did not disclose the sale price, had been looking for a buyer for years, and held discussions for several months with ION. Dublin-based ION Group was in turn in talks with banks for months to secure funding for the deal. Founded by former Salomon Brothers trader Andrea Pignataro, ION Group provides services of trading, analytics, treasury and risk management for capital and commodity markets. In 2021 in Italy alone, ION bought banking software provider Cedacri for $1.8 billion and acquired Cerved in a deal that valued the credit data and management group at nearly 2 billion euros.

LONDON, July 21 (Reuters) - British financier Guy Hands has stepped down as CEO and chairman of private equity firm Terra Firma Capital Partners, according to a company statement sent to Reuters. Richard Hands and Paul Hatter will lead the company as managing director and chief operating officer, respectively. "Guy wants to change the focus of his life giving him more time to work on his and his wife Julia's philanthropic interests whilst continuing to be involved in the portfolio businesses that are Hands Family Investments, as well as in the legacy Terra Firma fund investment Annington, sitting on the boards that work with those investments," the statement read. Terra Firma will be led by Guy's son and managing director Richard Hands and its chief operating officer Paul Hatter, the company said in a statement. Guy Hands founded Terra Firma in 2002 through the spin-out of Japanese bank Nomura's Principal Finance Group (PFG), which he used to lead. Terra Firma is now invested in 39 companies with an aggregate enterprise value of 51 billion euros ($56.7 billion), according to the company's website. Dutch SPAC in advanced talks to acquire electric vehicle group

LONDON, July 20 (Reuters) - SPEAR Investments I (SPR1.AS), a special purpose acquisition company (SPAC), is in advanced discussions to acquire QEV Technologies, a Spanish electric vehicle firm, at a valuation of 209 million euros ($234 million), the companies said on Thursday. The deal will see QEV Technologies, which recently won a tender to operate a former Nissan manufacturing facility in Barcelona, merge into SPEAR Investments I and trade on the Amsterdam bourse. SPEAR Investment I, backed by corporate finance houses STJ Advisors and AZ Capital, listed in Amsterdam in late 2021. The planned merger will see QEV Technologies' existing shareholder Inveready make a further investment in the company alongside new investors to help support its growth. NEW YORK/LONDON, July 11 (Reuters) - One of the world's top insurers is mulling offloading its property reinsurance business in a bid to cut its exposure to natural disasters like hurricanes, according to three people familiar with the matter. Prices for U.S. property catastrophe reinsurance rose by as much as 50% at a key July 1 renewal date, broker Gallagher Re said in a recent report. AXA has been trying to reduce the exposure of its AXA XL property and casualty (P&C) division - which houses XL Re - in an effort to make earnings more predictable. This has caused the reinsurance business to shrink, with revenues dropping by nearly a third last year to $3.2 billion, according to AXA's 2022 accounts. In May, American International Group (AIG.N) agreed the sale of its reinsurance arm Validus Re for roughly $3 billion, or about 1.4 times the unit's book value.

The opening price was higher than the 20 euros per share paid by investors in the initial public offering (IPO), which valued the company at around 2.5 billion euros. BUCHAREST, July 5 (Reuters) - Romanian energy producer Hidroelectrica's IPO has been priced at 104 lei ($22.87) per share, it said on Wednesday, implying a market capitalisation of $10.3 billion in what a government minister described as a "historic success." "We are happy to see the strong investor interest which has driven a successful outcome," said Chief Executive Bogdan Badea. The stock will start trading on July 12 on the Bucharest bourse. The government will retain its 80% holding in the country's largest energy producer, which has power capacity of 6.3 gigawatts from 182 hydroelectric plants. June 16 (Reuters) - German bus services firm Flix, owner of the Greyhound brand in North America and FlixBus in Europe, has stepped up preparations for a possible stock-market listing, two sources familiar with the matter told Reuters. Flix has invited investment banks to pitch to manage its share sale in recent weeks, said the sources, who spoke on the condition of anonymity. U.S. corporate finance house Evercore (EVR.N) is advising Flix on the process, the sources said. Flix, set up in 2011 by three entrepreneurs in Munich to try to make bus travel cheap, runs bus and train services across 40 countries. So far this year, only one stock market listing has taken place in Germany, raising $479 million, according to Refinitiv data.

LONDON, June 14 (Reuters) - Deutsche Bank (DBKGn.DE) has added three senior dealmakers to its team of bankers advising other financial institutions, such as insurance companies and lenders, according to a memo seen by Reuters on Wednesday and confirmed by a company spokesperson. It has hired Marie-Soazic Geffroy as global co-head of its Financial Institutions Group (FIG) from Perella Weinberg Partners (PWP.O). Based in Paris, she will lead the industry group alongside Jeff Cady, who is set to join the bank in New York from Citigroup (C.N). Barclays has already engaged at least one major consultancy firm and may hire others to split assignments, this person said. The payments study comes as Barclays had also drafted Boston Consulting Group (BCG) to conduct a strategy review of the entire banking group, a person familiar with the matter told Reuters. LONDON, May 31 (Reuters) - WE Soda, the world's largest producer of natural soda ash, said on Wednesday it planned to list shares on the London stock exchange, in a boost for Britain's flagging initial public offering (IPO) market. The UK-based company, which produces soda ash for a variety of uses including glass manufacturing, is considering applying for admission to trade on the premium segment of the London Stock Exchange (LSE). Though proceeds raised in London IPOs fell 90% last year, according to research by consultancy EY, the British capital has seen some activity in recent months. Earlier in May, Admiral Acquisition (ADMR.L), a special purpose acquisition company (SPAC) founded by veteran dealmaker Martin E. Franklin, raised $550 million in a London flotation. In April, Melrose Industries (MRON.L) listed the former automotive division of British engineer GKN under the name Dowlais (DWL.L) on the LSE.

UK's Asda to buy EG petrol stations unit in $2.9-bln deal

Asda, Britain's third-largest grocer, and EG are both owned by brothers Zuber and Mohsin Issa and private equity group TDR Capital. The unit of around 350 petrol stations and over 1,000 food-to-go locations will be valued at 2.27 billion pounds. The deal will help spur Asda in its drive to overtake Sainsbury's (SBRY.L) and become Britain's No. 2 supermarket as it rolls out the Asda Express across the EG petrol estate. The Issa brothers bought Asda in 2021 and have already converted 166 EG sites to the "Asda on the Move" format.
LONDON/LISBON, May 19 (Reuters) - Portuguese insurer Fidelidade is exploring a potential stock market listing of its private healthcare subsidiary Luz Saude, six people familiar with the matter told Reuters. Luz Saude reported operating income of 599 million euros in 2022, a 10.6% jump from the year before, driven by growth in private healthcare services. They come after Fidelidade acquired the remaining 49% of Luz Saude it did not already own from parent Fosun in September. An IPO would mark a return of Luz Saude to the stock market after the healthcare group stopped trading on Euronext Lisbon in 2018. It could also awaken Europe's IPO market, after activity levels plunged last year on the back of soaring interest rates and economic uncertainty.
LONDON, May 17 (Reuters) - Planisware is working with investment bankers on strategic options, including a stock market listing of the French software group, four people familiar with the matter told Reuters. Rothschild (ROTH.PA) is acting as financial adviser to Planisware, two of the people, who declined to be named, said. BNP Paribas (BNPP.PA) and Citigroup (C.N) have been lined up to arrange a possible initial public offering (IPO), one person added. Private equity group Ardian, which holds an undisclosed stake in Planisware through its growth capital arm, declined to comment. In France, IPO volumes plunged in 2022 to levels similar to the first year of the COVID-19 pandemic.
The accelerated stock offering, unveiled after the market close, includes some 28 million shares representing a voting interest of approximately 5.5% in the market infrastructure group. The news follows an earlier sale of more than $2 billion shares in March by Blackstone and Thomson Reuters, which became LSEG shareholders when they sold financial data firm Refinitiv to the bourse operator in 2021. As of April 30, Thomson Reuters owned 47.4 million shares of LSEG, worth $5 billion, which it had indicated it would begin selling in tranches this year. It also follows the publication of LSEG's first-quarter earnings at the end of April, which showed an almost 14% jump in gross profit to 1.8 billion pounds ($2.27 billion) from a year ago. LSEG has separately committed to buy up to 750 billion pounds of shares from the consortium through a targeted buy-back programme expected to be completed by April 2024.
LONDON, May 4 (Reuters) - Blackstone (BX.N) is weighing options for Spanish gambling company Cirsa, including an initial public offering (IPO), people familiar with the matter told Reuters. The U.S. buyout group recently invited proposals from investment banks to manage a possible share sale and refinancing of Cirsa's debt, said the people, speaking on condition of anonymity. An IPO would follow a public share sale by Italian peer Lottomatica (LTMC.MI), backed by Apollo Global Management (APO.N), whose shares began trading in Milan on Wednesday. Cirsa, a casino operator, posted 552.5 million euros ($609.24 million) in earnings before interest, tax, depreciation and amortisation (EBITDA) for 2022. Based on Lottomatica's valuation, Cirsa could be worth several billions of euros, including debt.

Blackstone has also been considering potential acquisitions in the absence of a sale, one person added. The Hague-based NIBC offers financing for industries such as automotive, commercial real estate, infrastructure and shipping, as well as retail mortgages. It has been exiting non-core businesses, including deal advisory and leveraged finance, in a bid to streamline its operations. The group had 22.8 billion euros of assets on its balance sheet at the end of last year and an equity value of around 2 billion euros ($2.21 billion), according to its 2022 annual accounts, which showed a profit of 179 million euros excluding non-recurring expenses.

Summit intends to bring in another private equity fund to help fund Cinerius' growth, particularly through acquisitions, one of the people said. Asset manager BlackRock Inc (BLK.N) provides debt financing for Cinerius' acquisitions through its private credit arm, the person added. BlackRock, Cinerius and Summit Partners did not respond to requests for comment. Belgian private bank Degroof Petercam is reviewing strategic options after drawing interest from rivals, Reuters reported last Friday.
