Starboard Value sued software maker Autodesk on Monday to delay the company's annual meeting and reopen the board nominating window and allow the activist to mount a proxy fight. Activists can typically only begin a proxy fight, involving the nomination of a slate of directors to replace the existing board, if they submit their proposals within a specific window. Starboard confirmed in a letter on Monday that it has a stake in Autodesk valued at more than $500 million. The company waited until April 1 to tell shareholders about the investigation, filings show, which was more than a week after the nominating window had closed. An Autodesk representative referred CNBC to its prior statements on the matter, where it said it would refuse Starboard's requests to reopen the nominating window and delay the annual meeting.

The company with the best leadership in the U.S. isn't a tech titan or hospitality giant: It's management consulting firm Bain & Company. That's according to Glassdoor, which released on Tuesday its inaugural 50 Best-Led Companies ranking. The list measures how effectively bosses communicate and foster healthy company cultures, based on the workplace review website's anonymous employee ratings. Beyond Bain, the tech industry does occupy much of the list — 12 companies, more than any other sector. John Walker, a groundbreaking, if reclusive, technology entrepreneur and polymath who was a founder and chief executive of Autodesk, the company that brought the ubiquitous AutoCAD software program to the design and architecture masses, died on Feb. 2 in Neuchâtel, Switzerland. His death, in a hospital, was caused by complications of head injuries he suffered in a fall at home, his wife, Roxie Walker, said. His death was not widely reported at the time. Mr. Walker was well known in tech circles, not just for his triumphs in business but also for his outsize skills as a programmer — he was credited with developing an early prototype of the computer virus — and as a voluble writer who filled his personal site, Fourmilab, with free-ranging musings on topics as diverse as cryptography, nanotechnology and consciousness studies. Although he had little taste for publicity, he became a prominent tech mogul of the 1980s and early ’90s as a founder of Autodesk Inc., once described as “a theocracy of hackers,” which grew to become the sixth-largest personal computer software company in the world.

The top five most crowded trades include Autodesk, a design software company; Arista Networks, a network equipment company; and Advanced Micro Devices, a chipmaker.
