Pest control maker Rentokil Initial said Wednesday that Trian partner Brian Baldwin would join the Terminix owner's board effective next week. The company said Baldwin, who has worked at Nelson Peltz's firm since 2007, will also join the nominating and compensation committees. The accession comes three months after Trian first disclosed a roughly $400 million position in Rentokil, and two weeks after the company issued a profit warning. Peltz's Trian has a long history of turning around struggling businesses, largely in the consumer sector. His company mounted a proxy fight at Disney earlier this year, failing to secure a board seat but still making around $1 billion off the investment.

Disney picked up an endorsement from a top Wall Street firm — but Jim Cramer said the analysts' reasons to buy are not enough to drive the stock higher. Goldman Sachs initiated coverage of Disney with a buy rating and $125-per-share price target, implying more than 22% upside from where the stock closed Monday. In addition to recommending Disney, analysts started coverage of Fox and Comcast , the parent company of CNBC, with buy ratings. The firm sees Disney as the best-positioned rival to streaming leader Netflix and predicted steady progress on profitability ahead. Nelson Peltz's Trian Partners has amassed a significant stake in Terminix parent Rentokil and is seeking to engage with leadership on "ideas and initiatives to improve shareholder value," a spokesperson told CNBC Tuesday. That would mean that its stake is valued at more than $400 million, or at least 3% of shares outstanding. A spokesperson for Rentokil, which is headquartered in London, did not immediately respond to CNBC's request for comment. The news of his stake in Rentokil, reported earlier by Bloomberg, comes shortly after Trian disposed of its remaining stake in Disney. Peltz earlier this year ran an unsuccessful campaign for board seats at the entertainment giant.

Activist investor Nelson Peltz has sold his entire stake in Disney , a person familiar with the matter tells CNBC. Peltz sold all of his Disney stock at roughly $120 dollars a share, the person said, making about $1 billion on the position. The exit comes weeks after Peltz's Trian Partners lost a proxy battle at Disney in early April as shareholders reelected the company's full slate of board nominees. Whether today's activist investors contribute any genuine economic value is open for debate. As this year's proxy season draws to a close, defeat after defeat for activist investors in proxy fights this year – most prominently at Disney and Norfolk Southern – raises the question: Are activist investors increasingly getting de-activated, losing their credibility and power? These self-styled "activist investors" are distinct from the original activists who helped catalyze needed governance reforms two decades back. Many of today's activist investors are a far cry from the original, heroic crusaders for shareholder value who pioneered the activism space decades ago. However, given the failing financial performance of many of today's activist investors, their losing streak in proxy fights and increasing public rejection of their bullying tactics, the credibility and value of activist investors writ large is increasingly imperiled.

It had been more than a year since the Covid pandemic had forced Disney's domestic parks to shutter, but D'Amaro, chair of Disney's experiences division, was confident guests would flood back in when the gates reopened. Revenues fell 35% in 2020, a nearly $10 billion decrease from the $26.2 billion the experiences division had tallied in the year before the pandemic. The experiences division posted record revenue of $32.5 billion in fiscal 2023, a 16% increase from the prior year. Its innovations, from ride mechanics and animatronics to creature design and immersive architecture, have made Disney's parks a standout in the industry. Iger noted that the activism has not changed Disney's succession process. Chapek held the post for more than two years before Iger returned to it. "Obviously, we all learn from the past, and we're prepared for this process to be successful," Iger said. In an interview with CNBC on Thursday, Peltz said he did not have any personal vendetta against Iger but wanted to ensure the company had a leadership plan in place. "The only issue I had with Bob was the succession plan, which again is at the feet of the board," he said.

If you had the opportunity to hear activist investor Nelson Peltz, the defeated candidate for the Disney board, you did not get a definitive answer, as much as I pressed. In my CNBC interview with Peltz on Thursday, he assured us that he would be back if Iger didn't deliver on his promises. Iger talked about the board's succession committee, which former Morgan Stanley CEO James Gorman and now Disney board member, is on. They're confident that they'll pick the right person at the right time," Iger said on CNBC . I most feared the blowout in Disney stock in a fit of pique and right now I am not seeing that.

Trian claims Disney's board has failed to generate sufficient returns in recent years as subscription streaming losses have mounted and traditional TV subscribers have declined. Early vote countBoth Disney and Trian received support from influential shareholders ahead of Wednesday's meeting. Roughly one-third of Disney's shareholders are retail shareholders, who historically vote in small numbers in annual meetings. The arrangement still raised questions about ValueAct's support for the company and whether Disney's board should have disclosed the prior relationship.
