Tesla CEO Elon Musk lost his bid to get his 2018 CEO pay package reinstated on Monday when a Delaware judge upheld her prior ruling that the compensation plan was improperly granted. The package, worth about $56 billion, was the largest compensation plan in U.S. history for a public company executive. Musk attorneys attempted to sway the judge in the Delaware business court after the trial to reverse her opinion rescinding the CEO’s pay plan. Excluding all of the options wrapped up in the pay package, Musk is more than $43 billion richer since Donald Trump’s election victory last month. The Tesla stock Musk still holds is worth close to $150 billion based on Monday’s closing price.

CNN —GSK has agreed to pay up to $2.2 billion to settle most lawsuits in US state courts claiming that a discontinued version of the heartburn drug Zantac caused cancer, the company announced on Wednesday. GSK also said it would pay $70 million to settle a related whistleblower lawsuit filed by a Connecticut laboratory. Pfizer has agreed to settle most of the Zantac cases against it in state court, according to its most recent financial statement, and Sanofi in April announced that it was settling about 4,000 cases. Boehringer Ingelheim has not announced any major settlements, but is currently facing a trial over the drug in Oakland, California, state court. A majority of the remaining state court cases are in Delaware, where a judge in June allowed plaintiffs to present crucial expert testimony that Zantac caused cancer.

The Musk case took a dramatic turn when Tesla shareholders in June voted to ratify Musk’s pay, which Tesla has argued corrected the flaws in the 2018 process that McCormick identified in her ruling. The company argues that Musk’s pay package has been restored and that Tornetta’s legal victory has been transformed into a loss. McCormick may take weeks or months to rule on the legal fee. The Delaware Supreme Court is considering a $267 million fee request in a shareholder class action involving Dell Technologies and that decision could provide fee guidance.

New York CNN —A Delaware state court judge has thrown out the 2018 pay package that helped to make Tesla CEO Elon Musk one of the richest people in the world. He said Tesla investors will benefit from the decision by having the “dilution from this gargantuan pay package erased.”Attorneys for Musk and the Tesla board argued the pay package was approved by a shareholder vote. Excluding the votes owned by Musk and his brother, 73% of the shares voting in that election supported the pay package. The company’s market cap was valued at $54 billion at the time the pay package was approved. Robyn Denholm, the chair of Tesla’s board, testified that the pay package was all about keeping Musk focused on Tesla.

The lawyers want a judge to approve $229 million in fees, or $10,690 an hour, according to a Sept. 8 filing in Delaware's Court of Chancery. The legal fee and the settlement must be approved by a Delaware judge at a hearing scheduled for October. The Telsa directors have not objected to the fee request but are expected to do so, according to a court filing by the plaintiffs' lawyers. Musk was the biggest shareholder in both companies at the time of the deal and Tesla shareholders alleged he pushed the carmaker's board into the deal to bail out the billionaire's investment in the struggling rooftop solar company. The state's highest court said that while a judge on the Delaware Court of Chancery erred in some portions of his analysis, his overall premise still supported his determination that Tesla paid a fair price for SolarCity. They also argued that Slights determined after a 10-day trial in 2021 that Musk meddled in the deal but failed to hold him liable. Shareholders wanted to force Musk to return the Tesla stock he received in the takeover, which at one point was worth $13 billion. The Delaware Supreme Court said that the Slights' ruling was not "pitch perfect" but did not have to be and noted the "total collapse" of the shareholders' theory that SolarCity was insolvent.

In all, 19 witnesses are scheduled, including directors and executives from 2018, compensation experts and advisors who helped craft the pay package. Tesla has hit 11 of the 12 targets as its value ballooned briefly to more than $1 trillion from $50 billion, according to court papers. A decision will likely take around three months after the trial and could be appealed to the Delaware Supreme Court.
