Toyo Suisan has consistently outperformed Nissin Foods in North America, one of the most profitable and fastest-growing markets in the world. It generally starts with shareholder proposals that by regulation can only address specific issues, such as capital allocation and dividends. Last year, 3% of corporate governance shareholder proposals were passed and 4% of balance sheet-based shareholder proposals were passed. First, it shows the opportunities available to activists in Japan where reasonable shareholder proposals could lead to significant shareholder value creation. Brian Doyle of Nihon Global and his team are a good example of this.

Read previewChina launched the first sea trial of its newest aircraft carrier on Wednesday, per the state-run news agency Xinhua. However, according to John Bradford, a Council on Foreign Relations International Affairs fellow, the Fujian falls far short of US aircraft carrier standards. Related stories"There is nothing yet that compares to the USS carriers," he told Business Insider. AdvertisementUnlike China's two other carriers, the Liaoning and Shandong , the Fujian features a catapult system designed to launch aircraft, according to reports, much like US aircraft carriers. Business Insider previously reported that China's two other aircraft carriers — the Liaoning and Shandong — had outdated Soviet-era designs and smaller air wings, making them notably inferior to US carriers.

The US Department of Justice is expected to recommend that marijuana be rescheduled as a Schedule III controlled substance, a classification shared by prescription drugs such as ketamine and Tylenol with codeine. The standard rulemaking process is lengthy, is subject to a public comment period, and could take months to complete. However, rescheduling marijuana will not solve that federal-state conflict, the Congressional Research Service noted in a January 16 brief. States with medical marijuana programs do currently have some federal protections in place via appropriations legislation that restricts the Justice Department from interfering in those programs. The FDA’s scientific and medical evaluation of marijuana did not address products containing plant-derived cannabidiol, commonly known as CBD.

Wolfspeed is the world's leading producer of silicon carbide, or SiC, and a manufacturer of silicon carbide applications. Jana also recommends that the board commences a review of strategic alternatives, including a possible sale of the company. At Freshpet, Jana also made operational and capital allocation recommendations in addition to reviewing a sale of the company. One of the architects of that plan for a Trump second term said as much in a video last year for the Heritage Foundation. Reissuing Schedule F is part of a roadmap, known as Project 2025, drafted for a second Trump term by scores of conservative groups and published by the Heritage Foundation. The new rules would not fully block reclassifying workers in a second Trump term. Greene said she worries for federal workers who might face the same choice in a second Trump term. The project includes a personnel database for potential hires in a second Trump administration.

More recently, after nominating a majority director slate, Sachem Head settled for three board seats at US Foods. Taking board seats signifies both commitment and contribution, and this philosophy and style is really paying off for Sachem Head. After 2021, the revenue growth started slowing: It's 8.5% today, and it's estimated to be 5% to 10% in the coming years. As much as a growth market rewards hyper-growth stocks, it punishes those companies when revenue growth slows. On March 30, Sachem Head received a board seat for Andy J. Stafman, partner at Sachem Head, and agreed to withdraw its notice of shareholder proposals and nomination of candidates for election to the board at the 2024 annual meeting.

CNN —The Biden administration is close to approving the sale of as many as 50 American-made F-15 fighter jets to Israel, in a deal expected to be worth more than $18 billion, according to three people familiar with the matter. Since Hamas’ attack on Israel in October, which killed over 1,200 Israelis, the US has made more than 100 foreign military sales to Israel. Most of those have fallen under the specific dollar amount that requires a notification to Congress, an official familiar with the matter previously told CNN. A congressional aide told CNN that House Foreign Affairs Committee Chairman Michael McCaul has also approved the transaction to proceed to formal congressional notification. “What you hear about the frustrations within the administration over the Israel policy, it is real,” one US diplomat told CNN on condition of anonymity.

A container ship colliding into the Francis Scott Key Bridge in Baltimore is drawing attention to potential vulnerabilities among some of America’s more than 600,000 bridges. The Key Bridge stood for 47 years, and in that time it never received the sort of jolt that anyone could have thought would bring it down. Extreme weather events, increasingly heavy trucks and collisions from larger container ships pose significant risks to US bridges, engineers and other infrastructure experts say. The Key Bridge was “fracture critical,” the National Transportation Safety Board said Wednesday. To minimize the potential of ships bringing down bridges, bridges need to be built with what are known as redundancies— protections around bridges’ danger points.

Tribeca has been a shareholder of Glencore for seven years and has been engaging with management for a year. The company has excellent core asset quality in copper, zinc and coal, as well as a world-leading commodity trading business. More people over 65 are working as pensions disappear, people live longer, and Social Security benefits are seemingly always in peril. Business Insider spoke with several Americans of retirement age about why they are still trading their time for money. "I think older people become very invisible, and maybe it's going to take other older people to help heighten that visibility." On average, Americans who have pensions receive $25,000 annually from them; the average estimated annual Social Security benefit is $38,418 for 2024. Indeed, BI's analysis of retirement data has found that nearly 80% of retirees have Social Security income.

Criteo operates across three segments – marketing solutions, retail media, and Iponweb – but generated 83% of its $1.95 billion of revenue in 2023 from the marketing solutions segment. To many in the investor community, this was the death knell for cookies leading to uncertainty for Criteo's largest segment. Additionally, the company's retail media segment is a very appealing and growing business using software as a service for e-commerce companies. October 1 has been the official kickoff date for the federal fiscal year since 1977. Lawmakers have passed at least one continuing resolution in all but three of the years in the nearly half-century since. Instead, they will wrap the spending bills into larger packages – frequently called an “omnibus” that is passed in December or later. In 1997, for instance, there was no CR, but the spending bills were all passed together as an omnibus. Don’t hold your breath for them to get the 2025 spending bills done on time.

House Republican hardliners' efforts to stonewall a budget deal ahead of a looming government shutdown could risk triggering automatic spending cuts later this spring that may put pressure on the U.S. economy's already fraught recovery. A full-year budget deal to avert the FRA cuts appears increasingly unlikely, amid staunch opposition from the House's ultraconservative wing. Freedom Caucus derailmentMembers of the House Freedom Caucus, a coalition of hardline conservatives, have been working to derail a permanent budget. Instead, they want to extend the current temporary spending resolution through the rest of the fiscal year, ensuring the FRA's spending cuts are triggered on April 30. But if the FRA's automatic spending cuts take effect, they could rattle the broader economy's teetering recovery.

Activist Commentary: Starboard is a very successful activist investor and has extensive experience helping companies focus on operational efficiency and margin improvement. Additionally, Starboard has extensive experience helping portfolio companies improve margins from a board level and adding one or two of their nominees to the board could expedite this.
