Despite a mixed earnings season so far, analysts are still optimistic on a host of stocks that have yet to report. By this week's end, more than half of S & P 500 companies will have reported quarterly earnings, according to The Earnings Scout. As analysts and traders look to the second half of the earnings season, these are some of the stocks with upward momentum heading into their reports. CNBC Pro screened S & P 500 stocks for those that are reporting next week and have seen the average analyst raise earnings estimates at least 10% when looking over a three- and six-month period. Investors, bankers and lawyers expect a busy second half where activists may become more involved in trying to jumpstart mergers and acquisitions (M&A). "Volatile markets and depressed M&A markets are not deterring activists from launching campaigns in 2023," said Jim Rossman, global head of shareholder advisory at Barclays. In the second half, Barclays' Rossman expects to see a market with pent-up demand for M&A and $1.4 trillion parked in private equity firms' war chests that needs to be put to work. "The proof is in the pudding in the 2023 proxy season," Rossman said. "Activists won seats at 80% of proxy contests that went to a final vote, compared to 33% in 2022."

Activist investor Elliott seeks ouster of NRG CEO - WSJ

June 21 (Reuters) - Activist investor Elliott Investment Management is increasing pressure on NRG Energy (NRG.N) and seeking to oust its CEO Mauricio Gutierrez, the Wall Street Journal reported on Wednesday, citing people familiar with the matter. Elliott is in talks with potential candidates to replace the U.S. power company's CEO as well as other top executives, the report said. In a statement to Reuters, an NRG spokesperson said that the company's board "fully supports NRG's CEO Mauricio Gutierrez and management team," adding that the company will be discussing its strategic plan with shareholders at its investor day. The report comes after Elliott sent a letter to NRG's board last month, pushing for a boardroom overhaul. The activist investor had urged the company to conduct a review of its home services strategy and add new independent directors.

Darden Restaurants — The company behind Olive Garden and other restaurant chains slid nearly 4% in the premarket. Darden beat expectations of analysts polled by Refinitiv for earnings in the fiscal fourth quarter, while revenue came in line with expectations. Meanwhile, Darden's revenue guidance was higher than Wall Street forecasted. The Wall Street firm said the stock is pricing in only downside risk without the expectation for recovery. Activist Commentary: Elliott is a very successful and astute activist investor, particularly in the technology sector. In January 2017, the firm filed a 13D on NRG with a plan centered around operational improvements and portfolio actions. As part of its plan, Elliott suggested that NRG focus on its core businesses by reducing costs, monetizing non-core assets to simplify its portfolio and paying down debt. To effectively oversee this plan, Elliott believes that the board needs new independent directors with expertise in the power and energy industry. Companies NRG Energy Inc FollowMay 15 (Reuters) - Activist investor Elliott Investment Management on Monday sent a letter to the board of NRG Energy (NRG.N) urging the U.S. utility to conduct a review of its home services strategy and add new independent directors. The recommendations will remedy NRG's underperformance and strategic missteps including the acquisition of Vivint Smart Home Inc, Elliott said. In December, NRG said it would buy Vivint Smart Home Inc for $2.8 billion in cash. The activist investor called it "the single worst deal in the power and utilities sector in the past decade". Elliott manages funds that have an investment of about $1 billion, representing a more than 13% interest in NRG Energy.

NRG Energy to Buy Vivint Smart Home for $2.8 Billion

NRG Energy Inc. said it agreed to buy home-security business Vivint Smart Home Inc. for $2.8 billion in cash, as the energy-services company pushes to have a presence in more American homes. NRG said Tuesday it would pay $12 a share for Vivint, which offers integrated home systems that include security, lighting and other services. The price marks a 33% premium to Vivint’s closing price on Monday of $8.99 a share. Including debt, the companies put the total deal value at $5.2 billion.
