Southwest Airlines said Wednesday that it has adopted a shareholder rights plan, more commonly known as a "poison pill," in response to activist Elliott Management's investment in the airline and push to oust CEO Bob Jordan and Chairman Gary Kelly. The poison pill will only activate if Elliott — or another investor — acquires at least 12.5% of the company. "Southwest Airlines has made a good faith effort to engage constructively with Elliott Investment Management since its initial investment and remains open to any ideas for lasting value creation," Kelly said in a statement. Elliott and Southwest management met in person just two weeks ago, according to people familiar with the matter. Companies often adopt shareholder rights plans in response to an activist threat; rental car company Hertz adopted a poison pill in 2013 in response to "unusual" trading activity that management thought presaged an activist.

As Sam's Club opens more locations, it is trying to raise the bar for its own brand, Member's Mark. Net sales for Sam's Club totaled $86.2 billion in its most recent fiscal year, compared with $176.63 billion for Costco's U.S. clubs. Sam's Club CEO Chris Nicholas told CNBC the brand's revamp was inspired, in part, by the retailer's chief rival. Google is testing facial recognition technology for office security "to help prevent unauthorized individuals from gaining access to our campuses," according to a description of the program that was viewed by CNBC. The initial test is taking place at one of Alphabet's sites in Kirkland, Washington, a Seattle suburb, the document says. At the Kirkland testing site, people entering the building will not be able to opt out of the facial screening. However, the document says the data is "strictly for immediate use and not stored," and that employees can opt out of having their ID images stored by filling out a form. The Kirkland test lands at a sensitive moment for Google, which is at the center of the artificial intelligence boom and is rapidly adding AI across its portfolio of products and services.

On a mild Houston day in March 2021, Judge Marvin Isgur prepared to oversee the only case on his docket that morning. In October 2023, the Fifth Circuit Court rebuked Judge David Jones but said that his longtime colleague, Judge Marvin Isgur, had been "unaware" of Jones' inappropriate relationship. "But only Judge Isgur knows what he knew or didn't know about the relationship." Much of this work was in cases before either Judge Isgur or Judge Jones. Isgur can continue to hear the case, he ruled, writing in the December 2023 opinion that lawyers for the creditor "failed to demonstrate much other than that former Judge Jones and Judge Isgur are close friends."
