LAS Capital, majority-owned by Burns, will acquire Lordstown's intellectual property, business records, and machinery including assembly lines for electric vehicle motors and batteries. The sale does not include any rights to pursue legal claims against Lordstown's directors, officers or equity owners, which will remain with the bankrupt company, Lordstown Motors' attorney David Turetsky said at the court hearing. Several investor groups have already brought claims against Lordstown and its directors, alleging that the electric truck startup misled consumers and investors about its ability to ramp up electric vehicle production.

The settlement, placed with the bankruptcy court for approval, involves $5 million to be paid as royalty for the use of Karma's intellectual property, which Lordstown was accused of having misappropriated. That case was scheduled for trial in September before being placed on hold by Lordstown's bankruptcy. In case the settlement is not approved and the case goes to trial, Lordstown will continue to defend against Karma's claims, the filing added.

Simultaneously with its bankruptcy filing, Lordstown filed a suit against Foxconn. Following the deal, which closed in May 2022, Lordstown and Foxconn agreed to a second deal in which Foxconn would invest up to $170 million in Lordstown, taking a 19.3% stake in the startup. Instead, Foxconn told Lordstown that the startup had breached the deal by allowing its stock price to fall below $1 per share. (Lordstown executed a 1:15 reverse stock split in May, pushing its share price back over the critical $1 mark.) Lordstown had just $108.1 million in cash available at the end of March, after losing $171.1 million in the first quarter.

For instance Nikola, which has more than doubled in value this week, has a short interest of 15.7%, according to Refinitiv. The EV startups, meanwhile, have added over $500 million to their collective market value. Nikola shares were 20% higher before the bell on Friday at $1.65, on course to stay above the minimum level for the third straight session. Still, many challenges remain for the EV startups, evidenced by the year-to-date stock price declines of 35% and 75% seen at Nikola and Lordstown, respectively.

As legacy automakers increasingly ramp production of all-electric vehicles, cushioned by the profits of gas-powered models, a handful of EV startups are scrambling to conserve cash and stay in the mix. It also means the amount of cash Fisker had left as of the end of March, $652.5 million, isn't yet cause for alarm. Still, Fisker cut its production guidance for 2023 to between 32,000 vehicles and 36,000 vehicles, from 42,400 in its original plan. Or as Evercore ISI analyst Doug Dutton wrote before Fisker's earnings report, "Fisker is beginning to turn into a story of binary and 'show me' outcomes." It had $108.1 million remaining as of the end of March, but it lost $171.1 million in the first quarter .

May 5 (Reuters) - U.S. electric-vehicle startups are expected to report another quarter of dwindling cash reserves next week, piling pressure on a group of companies that are struggling to ramp up production and have few options for funding in a turbulent economy. Lucid Group (LCID.O) kicks off first-quarter earnings for the group on Monday, with the company expected to report a 36% sequential slide in cash reserves, according to Visible Alpha. Rivian Automotive (RIVN.O), meanwhile, will likely report on Tuesday that its cash balance fell by 6.8% to $10.78 billion from the preceding quarter, per a Visible Alpha estimate. Fisker Inc (FSR.N) and Nikola (NKLA.O), both of which report earnings on Tuesday, are expected to see their cash reserves decline by 5% and 15%, respectively, according to Visible Alpha. Its earnings in an unscheduled release on Thursday showed Lordstown's cash balance fell 11% sequentially.
Foxconn struck a deal in November to take a near-20% stake in the money-losing U.S. firm for up to $170 million. It has since invested $52.7 million and is balking at purchasing additional shares, citing a breach of their agreement, Lordstown said. "There is substantial doubt regarding our ability to continue as a going concern," Lordstown said in a filing, referring to its dispute with Foxconn over the investment deal. Their course of conduct has resulted in material — and what is becoming irreparable — harm to the company," Lordstown said in a statement. Lordstown shares, which at one point tumbled more than 50% on Monday, closed down 23%, or 12 cents, at 40 cents, in heavy trading.
Lordstown Motors said Monday that it still had over $220 million in cash at the end of 2022, despite ongoing challenges that halted production of its Endurance electric pickup after just six were delivered. Lordstown began deliveries of its first EV, the Endurance pickup truck, in November. Through the end of February, it had built about 40 trucks and delivered six to customers. As of Dec. 31, Lordstown had $221.7 million in cash and short-term investments on hand. Lordstown delivered three Endurance pickups to customers during the fourth quarter.

However, Lordstown suspended production last month due to performance and quality issues with some components and reported sales of only six vehicles. Net loss for the quarter ended Dec. 31 stood at $102.3 million, compared with $81.2 million a year earlier. The company had cash, cash equivalents and short-term investments of $221.7 million as of Dec. 31, up from $203.5 million in the preceding quarter.

It said on Tuesday the latest deal would deepen Lordstown's ties with Foxconn's EV development platform MIH, or Mobility in Harmony. Lordstown Chief Executive Officer Edward Hightower, speaking via video at an MIH event in Taipei, said the truck maker and Foxconn were eyeing production for other original equipment manufacturers, or OEMs, as well. Foxconn shares traded up 0.5% on Tuesday. Lordstown CEO Hightower said the vehicle maker aims to deliver the first Endurance trucks to customers in the current quarter.
Lordstown said in late September that it hoped to build 50 trucks by year-end. Once those investments are completed, Foxconn will own about 18% of Lordstown and will have the right to designate two members of its board of directors. Lordstown said it will use part of that investment to develop a new vehicle together with Foxconn. The investment helps address a lack of capital that has hindered Lordstown's efforts to get the Endurance into production. Lordstown said on Tuesday that it is actively seeking an automaker partner to help scale up production of the Endurance.
Nov 7 (Reuters) - Lordstown Motors Corp (RIDE.O) said on Monday it had entered into a deal under which Foxconn Ventures Pte Ltd, an affiliate of Foxconn (2317.TW), would invest up to $170 million in the electric vehicle maker, that would make the Taiwanese contract manufacturer its largest shareholder. Foxconn will purchase 12.9 million shares on or after Nov. 22 and an additional 26 million shares that will propel Foxconn's holdings to 19.3% of Lordstown's common stock and all of its preferred stock, surpassing founder Stephen Burn's stake of 17.2%, according to Refinitiv. Foxconn started manufacturing Lordstown's Endurance pickup trucks in September after buying the U.S. company's Ohio facility. The deal was prompted by the need to clinch funds essential for the start of production of Endurance. Lordstown expects to limit production of the Endurance through 2023 or longer to minimize losses, until it is able to cut its materials cost.
