The observer position means Microsoft's representative can attend OpenAI's board meetings and access confidential information, but it does not have voting rights on matters including electing or choosing directors. The new OpenAI board is on an active search for six new members with expertise in fields from technology to safety and policy. OpenAI's chief scientist Ilya Sutskever will no longer be part of the board, Altman said. Apart from Altman, Brockman, Sutskever, D'Angelo, OpenAI's previous board consisted of entrepreneur Tasha McCauley, Helen Toner, director of strategy at Georgetown's Center for Security and Emerging Technology.

In my reporting, the best explanation I’ve heard for the board’s decision, as poorly communicated as it was, is that it fired Altman for the precise reason it said it fired Altman. “It would be wise to view any investment in OpenAI Global LLC in the spirit of a donation,” it warned. Satya Nadella, Microsoft’s chief executive, didn’t have the power to stop OpenAI’s board from firing Altman, but he did have the power to render the action hollow. He announced a new advanced innovations division, to be led by Altman (and the OpenAI president Greg Brockman, who resigned in solidarity with Altman) and staffed by any OpenAI employees who’d like to join. By Wednesday, Altman was back as chief executive of OpenAI and all but one of the board members had resigned.

The nonprofit board overseeing the maker of the popular ChatGPT chatbot sent shock waves through Silicon Valley on Friday by abruptly firing Chief Executive Sam Altman. The trust that controls the candymaker agreed in 2016 to replace certain board members after the Pennsylvania attorney general challenged the trust's spending. Under OpenAI's bylaws, only directors can remove or elect new board members. Board members can sue other board members, either directly or on behalf of the organization, for failing to exercise their duties, said Reid.

Overnight, OpenAI announced that it had an “agreement in principle” to reinstall Sam Altman as C.E.O., while the board members who pushed him out are departing. The news was greeted rapturously by the ChatGPT creator’s employees, most of whom had threatened to quit and join Altman at Microsoft. Altman and those focused more on commercializing the technology came out ahead of those worried about its apocalyptic potential. Gone are Tasha McCauley, Helen Toner and Ilya Sutskever, three of the four directors who ousted Altman. That board will help select a bigger permanent one, according to The Verge, which may include representation for Microsoft, OpenAI’s biggest investor.

Ilya Sutskever was nowhere to be found Tuesday night at the impromptu party OpenAI staff threw to celebrate the return of Sam Altman as CEO. Sutskever was directly involved in Altman's abrupt removal as CEO last Friday by OpenAI's board, of which Sutskever was a member. With Altman now back leading the company, a new smaller board in place, and additional members imminent, staff are unsure if Sutskever will return at all. Another person familiar with both men thinks it is possible Sutskever could return and mend fences, however unlikely. Greg Brockman, OpenAI's president and another co-founder who quit in solidarity with Altman, is less magnanimous, the person said.
