The blockbuster transaction comes amid a slowdown in deal making, economic uncertainty and concerns among investors about companies that carry high levels of debt. Cincinnati-based Kroger said Friday that it will pay for the $24.6 billion deal with cash and proceeds from a new debt financing. The company secured a 364-day, $17.4 billion bridge loan from Citigroup Inc. and Wells Fargo & Co., it said in a securities filing. Kroger will temporarily pause buybacks with the goal of giving priority to debt reduction after the transaction closes, the company said Friday. The company on Friday didn’t say what its leverage ratio will be after the transaction closes.
From a broader national perspective, a combined Kroger and Albertsons does not pose any major threat to the competitive dynamics of the market." Kroger said it expects to reinvest about half a billion dollars of cost savings from deal synergies to reduce prices for customers. "The merger will accelerate our position as a more compelling alternative to larger and non-union competitors," Kroger Chief Executive Officer Rodney McMullen said. Goldman Sachs and Credit Suisse were the financial advisors to Albertsons, while Citigroup and Wells Fargo advised Kroger. Kroger will have to pay Albertsons $600 million if the deal is terminated.
Stifel's research found that consumers plan to spend 9% more this holiday season over 2021. Roughly three-quarters of respondents to a PwC holiday poll indicated they plan to spend the same or more this holiday season. Rather than marking down inventory, companies should hold on to it for the next year if their balance sheets can withstand it, said Siegel. Across the board, many flagship retail stores heavily focused on apparel and footwear like Kohl's and Macy's may struggle to lure customers intent on saving money on discretionary purchases. He points to names heavily focused on electronics and home goods purchased by consumers during the pandemic as one of the weaker areas this holiday season.

Strengthening the case for another 75 basis point increase, German inflation jumped to 10.9% this month, far beyond expectations for a reading of 10%. "There is no easing in sight, and next year the inflation rate is only likely to fall because energy prices are unlikely to rise again as strongly as this year, partly due to government intervention," Commerzbank economist Ralph Solveen said of the German inflation figures. While few governors ventured to estimate where interest rate hikes could end, de Cos said that models suggest a significantly lower terminal rate than markets now expect. "On the basis of current information, the median terminal rate value across models is at 2.25%-2.50%," de Cos said. Rate hike talk is intensifying even as recession fears rise.
Less Growth Seen for 2023 U.S. Ad Spending

Magna, a media investment firm that conducts industry research, reduced its U.S. advertising growth forecast for 2023, saying a weaker economic environment is likely to cut into spending. Despite the less optimistic outlook, certain factors will still underpin advertising growth, according to Vincent Létang, executive vice president of global market intelligence at Magna and author of the company’s reports on ad spending. Magna also cut its expectations on nonpolitical ad spending for the second half of this year. But it added that the uncertain economy would lead some sectors to spend less than they might have in the second half. Excluding cyclical political and international sports events, ad spending this year will grow 8.1%, Magna anticipated, down from the 9.5% increase it predicted in June.

Amid all the chaos in British bond markets, the forced intervention by the Bank of England to buy gilts has given some investors a crumb of comfort about the limits of central bank tightening. Cold comfort maybe, but enough to drag bond yields back and lift stocks briefly around the world. While 30-year gilt yields steadied just below 4% on Thursday after their 100bp swoon the previous day, the pound was sliding again and UK midcap stocks dropped. read moreEasing inflation in Spain was better news read more . Israel-based robotics startup Get Fabric Ltd., which has placed so-called microfulfillment centers in New York City and Dallas, is focusing on selling its warehouse automation platform rather than building more specialized small distribution sites. Some companies leased vacant retail spaces for use as “dark stores” for fulfillment and delivery, while others opened smaller warehouses near population centers. The shift makes the niche logistics business the latest to see a business strategy that gained traction during the Covid-19 pandemic lose its momentum as consumers have resumed prepandemic buying habits. That has some retailers rethinking their heavy investments in online fulfillment. Takeoff Technologies Inc., a microfulfillment system provider, expanded its business in the past year, said co-founder and Chief Executive Max Pedró.
More marketers are taking notice of California’s data privacy laws after the state said last month that cosmetics retailer Sephora had agreed to pay $1.2 million in penalties for alleged violations related to its targeted advertising practices. Some companies that have received letters have complied or begun working toward compliance, while others remain under investigation, the spokesperson said. Many companies delayed compliance because they disagree with that definition and don’t want to tell consumers that they sell data, he said. The state’s determination that Sephora didn’t process global opt-out requests played a key role in the attorney general’s decision to take action. “People see a headline about Sephora and everyone thinks they sold data,” she said.

The SEC’s Investor Advisory Committee, a group of investors, academics and financial advisers, recommended setting up another advisory committee to ensure the Financial Accounting Standards Board remains politically independent. PREVIEWRoughly 260 accounting and tax experts in November 2021 asked federal lawmakers to not tie the then-proposed tax to income metrics reported to investors. The new advisory group would consider ways to strengthen financial reporting in areas such as intangible assets, for example internally developed software, the Investor Advisory Committee said. SEC staff attend the FASB’s advisory committee meetings as formal observers and provide insight to help with rule making but lack the voting power of full board members. The FASB should then factor those costs into the cost-benefit analysis it conducts when drawing up new accounting rules, the SEC Investor Advisory Committee said.
Home-improvement retailer Lowe’s Cos. said it’s created immersive, interactive three-dimensional models of two of its U.S. stores to achieve better visibility into inventory data and store layouts. The company is currently piloting the digital twins in its Mill Creek, Wash., and central Charlotte, N.C., locations. Lowe’s is leveraging Nvidia Inc.’s Nvidia Omniverse, a real-time graphics collaboration platform, to create these digital twins and iterate on them. So far, these digital twins have been primarily used in manufacturing and factory scenarios, they say. Lowe’s says it has no clear timeline for when it might extend the digital twin technology beyond Mill Creek and Charlotte.
