The so-called shareholder derivative action, which the nuns filed in Nevada state court Tuesday against publicly traded Smith & Wesson, alleges that company leaders are putting shareholders at risk. They argue the leaders are exposing the company to liability by the way they have made and sold the rifle, which has been used in several mass shootings in recent years.

Phillips 66 has lagged its U.S. refining rivals at a time when fuel demand and margins have soared for the industry. Phillips 66 Chief Executive Mark Lashier acknowledged discussions with Elliott but did not say whether the company was open to adding two Elliott-recommended directors to its board. Microsoft may have put out a five-alarm fire around its most important technology move in years. But fires leave scorch marks—and sometimes flare up again. A leadership crisis at Silicon Valley startup OpenAI over the weekend threatened to seriously singe the world’s second-largest company by market value. That is because OpenAI developed the key generative artificial-intelligence technology that has helped power Microsoft’s aggressive move into the field. Microsoft has invested a total of $13 billion into the company and already launched commercial products and services based on its technology, including a chatbot-enabled Bing search engine and a superpowered digital assistant called Copilot that can render emails, spreadsheets and PowerPoint presentations.

But even as the story continues unfolding, analysts already view Microsoft as well positioned coming out of the latest Silicon Valley spectacle. Ives, who reiterated his outperform rating and $425 price target for Microsoft, said the OpenAI board was "kids poker table and thought they won." "We view Microsoft now even in a STRONGER position from an AI perspective with Altman and Brockman at MSFT running AI," Ives wrote to clients Monday morning. Ives' price target is higher than the consensus on Wall Street of $403, according to LSEG, implying upside of slightly more than 9%. Materne has an outperform rating on the stock and a $432 price target.

CNN —A sudden and seismic leadership crisis at OpenAI has led to a revolving door of CEOs at the artificial intelligence company, with tech entrepreneur Emmett Shear becoming the latest to take the helm on Monday. But by Monday morning, Altman had accepted a job at Microsoft, the tech giant with a sizable investment in OpenAI, Shear was named interim CEO and hundreds of OpenAI employees — including Murati — were calling for the board’s resignation and threatening to follow Altman to Microsoft. Now, picking up the pieces at OpenAI will be Shear, the 40-year-old co-founder of the video-game live-streaming company Twitch. On Monday, Shear announced he had accepted the job of interim CEO because he believes OpenAI “is one of the most important companies currently in existence.”Whether it can remain so depends on what Shear does next. But with Altman and his allies working in-house at Microsoft, Shear — and whomever succeeds him as OpenAI’s permanent CEO — may forever be overshadowed.
