Disney and its investors are going to start hearing a lot from activist investor Nelson Peltz. Disney's annual meeting last year was April 3. Disney plans to launch a direct-to-consumer ESPN service either later this year or in 2025 as the sports network's traditional cable subscription model fades. After it reports earnings Feb. 7, Disney will release its definitive proxy materials, which include the date of the annual meeting. Neither side usually knows who is winning until days or hours before the annual meeting because those massive investors often vote late in the process.

Activist investor Nelson Peltz is stating his case for joining Disney 's board. The proxy battle comes as Iger tries to streamline the sprawling media company to rein in spending and make its Disney+ streaming platform profitable. Peltz reiterated in a CNBC "Squawk Box" interview Thursday morning that he believes Disney's current board oversight is "awful." Peltz and Rasulo aim to execute a clear vision for the brand's theme parks, targeting "high-single digit operating income growth," according to the filing. Peltz told CNBC on Thursday that he paid a visit to Disney World last week.

Still, legacy media companies including Disney, Paramount Global, Warner Bros. Since the "Great Netflix Correction" of 2022, there isn't a unifying growth narrative for media and entertainment companies. Disney, Paramount Global and NBCUniversal have all pegged 2025 as their flagship streaming services' first full year of profitability. Disney Chief Executive Officer Bob Iger said Wednesday he will no longer tolerate his company's partners and creative team prioritizing messaging over storytelling. Iger had been in charge of "creative endeavors" in 2020 and 2021, even while Bob Chapek ran the company as CEO. Disney named two new board members on Wednesday — former Morgan Stanley CEO James Gorman and former Sky CEO Jeremy Darroch — as it gears up for a potential proxy fight. Nov 30 (Reuters) - Activist investor Nelson Peltz is pushing ahead with plans to seek at least three board seats at Disney (DIS.N) as the firm is not satisfied with Disney CEO Bob Iger's changes, several people familiar with the matter said. During a conversation on Thursday morning with Iger, Disney extended an offer for Trian to meet with the company's board but rejected the activist shareholder's request for seats on a board that will soon have 12 members, Trian said in a statement. He wanted the company to come up with a better succession plan, overhaul the streaming business and cut costs. Early this year, Peltz aborted a board challenge to give Iger time to "right the ship." "If they’ve made significant progress," Gadson said of Disney, proxy advisers "are more likely to allow for time to complete the transformation."

For the first time since 2020, Disney is planning to resume paying a dividend to shareholders as the media giant continues its turnaround amid historic industry shifts . "To that end, we will be recommending to the board that they declare a dividend by the end of this calendar year." Activist investor Nelson Peltz's Trian Fund Management, with $2.5 billion of Disney shares , has voiced his concerns about the elimination of dividends. Activist investor Nelson Peltz may be intent on making sure Disney directors don't get that luxury. He tried earlier this year to get himself on the Disney board, only to be rebuffed by Iger and eventually walk away in February. Disney's board has also struggled to groom a successor to Iger, who has five times renewed his contract to stick around as CEO. Still, to sway Disney shareholders to vote for Peltz or other board members, Trian may need to push for specific ideas or financial engineering that Disney hasn't already articulated. If not, his next move could be a public fight to get himself and others on Disney's board.
