"This matter highlights the dangers to companies with global operations posed by inadequate internal accounting controls," said SEC's FCPA unit chief Charles Cain. 3M said it discovered in 2018 that some employees had circumvented company controls and ethics policy, and the company reported the matter to the U.S. government and fully cooperated with its investigation.

The health care unit, which focuses on wound care, oral care and healthcare technology, accounted for about 25% of 3M's $34.23 billion in sales last year. Hanson joins 3M from Indiana-based medical equipment maker Zimmer Biomet (ZBH.N), where he was president and CEO since 2017, and chairman since 2021. Hanson would join 3M on Sept. 1 as CEO of Health Care Business Group, the company said.

The proposed deal would provide funds over a 13-year period to cities, towns and other public water systems to test and treat contamination of PFAS. They also said the deal could shift liability for future health concerns caused by PFAS from 3M onto the water systems themselves. That means the chemical maker could potentially seek compensation from the water systems in future litigation over things like PFAS-related cancer clusters, the states said. 3M, which is facing thousands of lawsuits over PFAS contamination, did not admit liability in the proposed settlement. It said in June that the money will help support remediation at public water systems that detect PFAS "at any level."
