Paramount and Skydance have haggled for months over an ambitious merger that would usher in a new ruler of a sprawling media kingdom that includes CBS, MTV and the film studio behind “Top Gun.”The talks reached an even greater intensity in the past week, but at least one major sticking point has emerged between Shari Redstone, Paramount’s controlling shareholder, and Skydance. In the event that Paramount’s investors sue over the merger, which party is on the hook to defend the deal in court? National Amusements, the parent company of Paramount, wants Skydance to provide legal protection in the event of a lawsuit, warding off shareholders that may file objections to the merger, according to three people familiar with the matter. Skydance has not yet signed off on that deal term. Legal protection — also known as indemnification — is among the crucial outstanding terms in this deal, which has already been condemned by some Paramount shareholders who protested that it would enrich Ms. Redstone at the expense of other investors.

The law firm Brown Rudnick paid criminal hackers $2 million in 2020 so they wouldn't publish confidential records online, and its insurer is still trying to recoup the money it spent responding to the attack, Insider has discovered. The software company paid out millions of dollars to settle with people and businesses impacted by the hack. Brown Rudnick’s name was included in a technical alert that was pasted into the lawsuit by its insurance company.

Trump had already called Letitia James "racist" for months prior to her suing him, in a not-so-veiled allusion to the AG being African American. "Racist A.G. Letitia "Peekaboo" James, the failed Gubernatorial candidate," Trump called the AG in a new Truth Social post. Trump fixer-turned-critic Michael Cohen doesn't like the odds on either of the leading peekaboo nickname-origin theories, one of which is X-rated and the other of which is deeply racist. Cohen didn't think much of the X-rated theory, floated around AG circles, which references some of the more graphic definitions of "peekaboo" from Urban Dictionary.
