New York CNN —Two influential advisory firms have urged shareholders to vote against Elon Musk’s contentious $51 billion pay package and raised concerns about the CEO’s numerous side projects. On Friday, Institutional Shareholder Services called the package “excessive” and noted that shareholder concerns “have not been sufficiently mitigated” since the package was first approved in 2018. The move to Texas, where Musk also operates SpaceX, was proposed shortly after a Delaware Chancery Court judge sided with Tesla shareholders who challenged the legality of the 2018 pay package. Those shareholders also argued that the directors on Tesla’s board were not truly independent and were too close to Musk to protect shareholders’ interests. The board is putting the same 2018 package up for a revote at Tesla’s annual shareholder meeting on June 13.

CNN —The Texas Supreme Court said a medical exemption in the state’s abortion ban applies only when a person is at risk of death or serious physical impairment, ruling Friday against women who sued the state with claims that the ban had put their health at risk. “Because the trial court’s order opens the door to permit abortion to address any pregnancy risk, it is not a faithful interpretation of the law,” the state Supreme Court said. The Texas Supreme Court said the challengers did not prove the abortion ban, with its narrow medical emergency exemption, violated the state constitution. “Today, the Supreme Court of Texas unanimously upheld the Human Life Protection Act, one of our state’s pro-life laws,” said Paxton, a Republican. The ruling called on the Texas Medical Board to issue more guidance to clear up confusion around when the exemption applies.

The dollar was licking wounds against peer currencies on Friday after a downward revision to U.S. GDP for the first quarter suggested room for rate cuts this year, while investors braced for inflation data. The dollar index , which measures the currency against six major peers, consolidated around 104.82 after dipping as low as 104.63 overnight. Softer U.S. consumer price inflation data earlier in May rekindled rate cut expectations for this year, weakening the dollar across the board and setting it on track to post its first monthly losses in 2024. "All told, the Tokyo CPI leaves us confident that nationwide underlying inflation will fall below 2% as soon as July." Price data for the euro zone is due on Friday, following a stronger-than-expected April inflation reading for Germany on Wednesday.

In a humble courtroom in Lower Manhattan on Thursday, a former president and current Republican standard-bearer was convicted of 34 felony counts of falsifying business records. The jury’s decision, and the facts presented at the trial, offer yet another reminder — perhaps the starkest to date — of the many reasons Donald Trump is unfit for office. Yet the greatest good to come out of this sordid case is the proof that the rule of law binds everyone, even former presidents. Under extraordinary circumstances, the trial was conducted much like any other criminal trial in the city. That 12 Americans could sit in judgment of the former and potentially future president is a remarkable display of the democratic principles that Americans prize at work.
